Filings and Notifications; Cooperation. As promptly as practicable after the date of this Agreement, and in any event within the applicable time period prescribed by Legal Requirements, Buyer shall, and shall cause each of its Related Persons to, make all filings and notifications required by Legal Requirements to be made by them in connection with the Contemplated Transactions. Buyer shall, and shall cause each of its Related Persons to, cooperate with each Seller, each Acquired Company, their Related Persons and their respective Representatives (a) with respect to all filings and notifications that any Seller, any Acquired Company, or their Related Persons shall be required by Legal Requirements to make in connection with the Contemplated Transactions and (b) in obtaining all Material Consents; provided, however, that Buyer shall not be required to dispose of or make any change to its business, expend any material funds, or incur any other material obligation in order to comply with this Section 6.01.

Xxxxx agrees not to contact any employee of the Acquired Companies, except after having first obtained written consent from Seller Parent or Seller (which may be in the form of email).

Sellers shall, and shall cause the Company and each of their Related Persons to, cooperate with Buyer, its Related Persons, and their respective Representatives (a) with respect to all filings and notifications that Buyer or its Related Persons elect to make or shall be required by Legal Requirements to make in connection with the Contemplated Transactions, and (b) in identifying and obtaining the Governmental Authorizations required by Buyer to own and operate the Company from and after the Closing Date.

The Company shall, and shall cause each of its Related Persons to, cooperate with EPP, its Related Persons, and their respective Representatives (a) with respect to all filings and notifications that EPP or its Related Persons elect to make or shall be required by Law to make in connection with the Contemplated Transactions, (b) in identifying and obtaining the Governmental Authorizations required by EPP to own and operate the Retail Gasoline Distribution Business and the Assets from and after the Closing Date, and (c) in obtaining all Consents identified in Schedule 3.2(c) (including taking all actions requested by EPP to cause early termination of any applicable waiting period under the HSR Act).

Within the applicable time period prescribed by Legal Requirements, Buyer shall, and shall cause its affiliates to, make all filings and notifications required by applicable Law to be made by them in connection with the Contemplated Transactions. Seller shall cooperate with Buyer as necessary in connection with such filings and notifications. Buyer shall, and shall cause its affiliates to, cooperate with Seller, any Company Party, or their affiliates (a) with respect to all filings and notifications that Seller, any Company Party, or their affiliates shall be required by applicable Law to make in connection with the Contemplated Transactions and (b) in obtaining any necessary consents under any Contract.

Shareholder shall, and shall cause the particular FFIN Company to be acquired and each of its Related Persons to, cooperate with the Company Representatives: (a) respecting all filings and notifications that the Company elects to make or shall be required by Legal Requirements to make in connection with the Acquisitions; (b) in identifying and obtaining the Governmental Authorizations required by the Company to own and operate the particular FFIN Company to be acquired from and after the applicable Closing Date; and (c) in obtaining all Consents identified in Schedule 3.4.

The Company shall, and shall cause each of its Related Persons to, cooperate with Shareholder, the FFIN Companies, and their respective Related Persons: (a) respecting all filings and notifications that Shareholder, any FFIN Company, or their respective Related Persons shall be required by Legal Requirements to make in connection with the Acquisitions; and (b) in obtaining all Material Consents; provided, however, that the Company shall not be required to dispose of or make any change to its business, expend any material funds, or incur any other material obligation in order to comply with this Section 5.1.

Buyer shall, and shall cause each of its Affiliates to, cooperate with each Seller, each Acquired Company, their Affiliates and their respective Representatives (a) with respect to all filings and notifications that any Seller, any Acquired Company, or their Affiliates shall be required by Legal Requirements to make in connection with the Contemplated Transactions and (b) in obtaining all Material Consents; provided, however, that Buyer shall not be required to dispose of or make any change to its business, expend any material funds, or incur any other material obligation in order to comply with this Section 6.1.
