Filing Suit. In the event the Collection Company deems it necessary to commence a lawsuit regarding this claim, the Client acknowledges that, pursuant to the terms of the Assignment, the Collection Company is not required to first consult with and obtain the permission of Client prior to the filing of such a suit. Filing Suit. BioNumerik will be solely responsible for enforcing the Licensed Patents or the Licensed Trademarks by filing suit against suspected infringers of which it becomes aware or whom Takeda brings to its attention and will have discretion in determining to file suit. BioNumerik will keep Takeda promptly informed and will from time to time consult with Takeda regarding the status of any such suit and will provide Takeda with copies of all documents filed in, and all written communications relating to, such suit. Payments by Takeda to BioNumerik pursuant to Articles VIII and IX will continue during any patent litigation unless and until this Agreement is otherwise terminated in accordance with the terms of this Agreement.
