Common use of Filing Date Clause in Contracts

Filing Date. If no Registration Statement has been filed by the Issuer pursuant to this Agreement, the 60th day after the Issue Date; provided, however, that if a Shelf Notice is given after the 50th day after the Issue Date, then the Filing Date with respect to the Initial Shelf Registration shall be the 15th calendar day after the date of the giving of such Shelf Notice; and (B) in each other case (which may be applicable notwithstanding the consummation of the Exchange Offer), the 30th day after the delivery of a Shelf Notice.
