Common use of Filing and Recording Clause in Contracts

Filing and Recording. Guarantor, at its own cost and expense, shall execute and deliver to Secured Party any financing statements, and shall procure for Secured Party any other documents, necessary or appropriate to protect the security interest granted to Secured Party hereunder against the rights and interests of third parties, and shall cause the same to be duly recorded and filed in all places necessary to perfect the security interest of Secured Party in the Collateral. In the event that any recording or refiling thereof (or filing of any statements of continuation or assignment of any financing state-ment) is required to protect and preserve such security interest, Guarantor, at its own cost and expense, shall cause the same to be re-recorded and/or refiled at the time and in the manner re-quested by Secured Party. Guarantor hereby authorizes Secured Party to file or refile any financing statements or continuation statements with respect to the security interest granted pursuant to this Agreement which at any time may be required or appro-priate, although the same may have been executed only by Secured Party, and to execute such financing statement on behalf of Guarantor. Guarantor hereby irrevocably designates Secured Party, its agents, representatives and designees, as agent and attorney-in-fact for Guarantor for the aforesaid purposes.

Filing and Recording. GuarantorDebtor, at its own cost and expense, shall execute and deliver to Secured Party Party, any financing statements, and shall procure for statements and/or other documents prepared by Secured Party any other documentsand accurately reflecting the terms of this Security Agreement, which are necessary or appropriate to protect the security interest granted to Secured Party hereunder against the rights and interests of third parties, and patties. Secured Party shall cause the same to be duly recorded and filed in all places necessary to perfect the security interest of Secured Party in the Collateral. In the event that any recording or refiling thereof (or filing of any statements of continuation or assignment of any financing state-mentstatement) is required to protect and preserve such security interest, Guarantor, at its own cost Debtor shall execute and expense, shall cause the same return to be re-recorded and/or refiled at the time and in the manner re-quested Secured Party such documents as are prepared by Secured PartyParty and accurately reflects the terms of this Security Agreement. Guarantor Debtor hereby authorizes Secured Party to file or refile any financing statements or continuation statements with respect to the security interest granted pursuant to this Agreement which at any time may be required or appro-priate, appropriate although the same may have been executed only by Secured Party, and to execute such financing statement Statement on behalf of GuarantorDebtor, as accurately reflects the terms of this Security Agreement. Guarantor Debtor hereby irrevocably designates Secured Party, its agents, representatives and designees, as agent and attorney-in-fact for Guarantor Debtor for the aforesaid purposes, and for such purposes only; provided, however, that copies of all such documents executed by Secure party must be delivered to Debtor in advance of any filing of the same.

Guarantor Debtor hereby authorizes Secured Party to file or refile any financing statements or continuation statements with respect to the security interest granted pursuant to this Agreement which at any time may be required or appro-priateappropriate, although the same may way have been executed only by Secured Party, and to execute such financing statement on behalf of GuarantorDebtor. Guarantor Debtor hereby irrevocably designates Secured Party, its agents, representatives and designees, as agent and ant attorney-in-fact for Guarantor Debtor for the aforesaid purposes.

GuarantorDebtor/Obligor, at its own cost and expense, shall execute and deliver to Secured Party any financing statements, and shall procure for Secured Party any other documents, necessary or appropriate to protect the security interest granted to Secured Party hereunder against the rights and interests of third parties, and shall cause the same to be duly recorded and filed in all places necessary to perfect the security interest of Secured Party in the Collateral. In the event that any recording or refiling thereof (or filing of any statements of continuation or assignment of any financing state-mentstatement) is required to protect and preserve such security interest, GuarantorDebtor/Obligor, at its own cost and expense, shall cause the same to be re-recorded and/or refiled at the time and in the manner re-quested requested by Secured Party. Guarantor Debtor/Obligor hereby authorizes Secured Party to file or refile any financing statements or continuation statements with respect to the security interest granted pursuant to this Agreement which at any time may be required or appro-priateappropriate, although the same may have been executed only by Secured Party, and to execute such financing statement on behalf of GuarantorDebtor/Obligor. Guarantor Debtor/Obligor hereby irrevocably designates Secured Party, its agents, representatives and designees, as agent and attorney-in-fact for Guarantor Debtor/Obligor for the aforesaid purposes.

Guarantor Debtor hereby irrevocably designates Secured Party, its agents, representatives and designees, as agent and attorneyat-xxxxxx-in-fact for Guarantor Debtor for the aforesaid purposes.

Guarantor Debtor hereby authorizes Secured Party to file or refile any financing statements or continuation statements with respect to the security interest granted pursuant to this Agreement which at any time may be required or approappropriate, al-priate, although though the same may have been executed only by Secured Party, and to execute such financing statement on behalf of GuarantorDebtor. Guarantor Debtor hereby irrevocably designates Secured Party, its agents, representatives repre-sentatives and designees, as agent and attorney-in-fact for Guarantor Debtor for the aforesaid purposes.

Guarantor Debtor hereby authorizes Secured Party to file or refile any financing statements or continuation statements with respect to the security interest granted pursuant to this Agreement which at any time may be required or appro-priateappropriate, although the same may have been executed only by Secured Party, and to execute such financing statement on behalf of GuarantorDebtor. Guarantor Debtor hereby irrevocably designates Secured Party, its agents, representatives and designees, as agent and attorney-in-fact for Guarantor Debtor for the aforesaid purposes.

Guarantor The Pledging Party hereby authorizes Secured Party to file or refile re-file any financing statements or continuation statements with respect to the security interest granted pursuant to this Agreement which at any time may be required or appro-priateappropriate, although the same may have been executed only by Secured Party, and to execute such financing statement on behalf of Guarantorthe Pledging Party. Guarantor The Pledging Party hereby irrevocably designates Secured Party, its agents, representatives and designees, as agent and attorneyat-torney-in-fact for Guarantor the Pledging Xxxxx for the aforesaid purposes.
