Fees to Manager. During the term of this Agreement, as compensation for the Services, Manager shall earn a monthly fee equal to $12,500.00 (collectively, the “Service Fees”). Manager shall be entitled to all accrued and unpaid Services Fees in the event this Agreement is terminated for any reason. Notwithstanding anything to the contrary in this Agreement, the Company shall only be obligated to pay the Service Fees and any Expenses provided that the Company has net cash available to pay such Service Fees and Expenses.
