Subadviser agrees to look exclusively to Manager, and not to any assets of the Trust or the PortfolioFund, for the payment of Subadviser's ’s fees arising under this Paragraph 1.

Fees Payable by Manager. Manager will pay Subadviser a monthly fee computed at an annual rate of 0.0060.0700% (0.6 7.0 basis points) of the average daily net assets of the Portfolio Fund (computed in the manner set forth in the Trust's Declaration of Trust) throughout the month. Subadviser's fee shall be computed monthly, and within twelve business days of the end of each calendar month, Manager shall transmit to Subadviser the fee for the previous month.
