FEE BREAKDOWN. This membership consists of a twelve month commitment at a total cost of $485 per child. Before School care may be provided for an additional $150 a month, equaling a total monthly cost of $635. Summer Care is provided at a fee of $700 per month for members, and $800 per month for non-members. These fees are due at the beginning of each month. ASW retains the right to apply an additional fee to the monthly fee for professional development day (Pro-D Day) or snow day coverage at their sole discretion. If the fee is applied, it will be $20 for the day. The After School Program rate includes provincial wide professional development daycare (drop off at 8:30 am, pick up no later than 6:30 pm). This does not include winter/spring/summer break daycare. Spring break care may be provided at an additional rate of $20 per day. Winter break is not covered under our program. There is no reduction in fee for the month of December due to the winter break. There is also no extra fee for months with a 5th week in them. A void cheque is required upon registration in order for ASW to pursue unpaid daycare fees. Monthly fees include: pick up from school, transportation to the centre, homework help, free activity time, and Martial Arts classes.
FEE BREAKDOWN. The Company shall pay StartEngine for its services hereunder: An equity financing fee, payable in cash upon the consummation of the Offering equal to seven percent (7.0%) of the total proceeds raised by the Company through its Offering on the StartEngine platform, and a $15,000 fee for reasonable out of pocket legal expenses, half of which shall be due upon the signing of this Agreement, and the balance of which shall be due within 30 days after StartEngine incurs such legal expense. Any amount of such expenses not used will be returned to the Company. FINRA fees will be paid by the Company. Credit card fees will be paid by the Company. Escrow fees will be paid by the Company. Notwithstanding the foregoing, StartEngine will receive an equity financing fee equal to three and a half percent (3.5%) of the total proceeds invested by a specific list of 15 institutional investors the Company will provide to StartEngine before the offering commences (the “Company Investors”). The partied hereby agree that, within ninety (90) days of the date hereof, the Company may provide a second list of 15 institutional investors that shall be deemed to be “Company Investors” hereunder.

  • Equipment Procurement If responsibility for construction of the Connecting Transmission Owner’s Attachment Facilities or System Upgrade Facilities or System Deliverability Upgrades is to be borne by the Connecting Transmission Owner, then the Connecting Transmission Owner shall commence design of the Connecting Transmission Owner’s Attachment Facilities or System Upgrade Facilities or System Deliverability Upgrades and procure necessary equipment as soon as practicable after all of the following conditions are satisfied, unless the Developer and Connecting Transmission Owner otherwise agree in writing:

  • Outage Schedules The Connecting Transmission Owner shall post scheduled outages of its transmission facilities on the NYISO OASIS. Developer shall submit its planned maintenance schedules for the Large Generating Facility to Connecting Transmission Owner and NYISO for a minimum of a rolling thirty-six month period. Developer shall update its planned maintenance schedules as necessary. NYISO may direct, or the Connecting Transmission Owner may request, Developer to reschedule its maintenance as necessary to maintain the reliability of the New York State Transmission System. Compensation to Developer for any additional direct costs that the Developer incurs as a result of rescheduling maintenance, including any additional overtime, breaking of maintenance contracts or other costs above and beyond the cost the Developer would have incurred absent the request to reschedule maintenance, shall be in accordance with the NYISO OATT. Developer will not be eligible to receive compensation, if during the twelve (12) months prior to the date of the scheduled maintenance, the Developer had modified its schedule of maintenance activities other than at the direction of the NYISO or request of the Connecting Transmission Owner.

  • Default – Reprocurement Costs In case of Contract breach by Contractor, resulting in termination by the County, the County may procure the goods and/or services from other sources. If the cost for those goods and/or services is higher than under the terms of the existing Contract, Contractor will be responsible for paying the County the difference between the Contract cost and the price paid, and the County may deduct this cost from any unpaid balance due the Contractor. The price paid by the County shall be the prevailing market price at the time such purchase is made. This is in addition to any other remedies available under this Contract and under law.

  • Failure to Procure Insurance Failure on the part of Provider, or any of its subcontractors, to procure or maintain required insurance shall constitute a material breach of contract under which the District may immediately terminate this Agreement.

  • Construction Management Fee The Construction Management Fee for the Project shall be either a ☒Lump Sum or ☐Not-To-Exceed Fee of Eleven Thousand, Nine Hundred Sixty-Four Dollars and Ninety-One Cents ($11,964.91). NOTE: Allowances will be on a Not-To-Exceed basis. All unused funds will be returned to the School District at the time of construction closeout.   • Outages 9.7.1.1 Outage Authority and Coordination. Interconnection Customer and Transmission Owner may each in accordance with Good Utility Practice in coordination with the other Party and Transmission Provider remove from service any of its respective Interconnection Facilities, System Protection Facilities, Network Upgrades, System Protection Facilities or Distribution Upgrades that may impact the other Party’s facilities as necessary to perform maintenance or testing or to install or replace equipment. Absent an Emergency Condition, the Party scheduling a removal of such facility(ies) from service will use Reasonable Efforts to notify one another and schedule such removal on a date and time mutually acceptable to the Parties. In all circumstances, any Party planning to remove such facility(ies) from service shall use Reasonable Efforts to minimize the effect on the other Parties of such removal.
