False Representation or Warranty. Borrower shall have made any statement, representation or warranty in this Agreement or in any other Loan Document to which Borrower is a party or in a certificate executed by Borrower incident to this Agreement, which is at any time found to have been false in any material respect at the time such representation or warranty was made.

The making or furnishing by any Obligor to LaSalle of any representation, warranty, certificate, schedule, report or other communication within or in connection with this Agreement or the Other Agreements or in connection with any other agreement between such Obligor and LaSalle, which is untrue or misleading in any material respect, or the failure of any Obligor to perform, keep or observe any of the covenants, conditions, promises, agreement of such Obligor under any other agreement with any Person if such failure has or is reasonably likely to have a Material Adverse Effect.
False Representation or Warranty. Any representation, warranty or statement by Epix contained in this Agreement or any other Transaction Document when made, reaffirmed or hereby deemed made or reaffirmed is or was, when made, reaffirmed or hereby deemed made or reaffirmed, materially incorrect.

Any warranty or representation made by Borrower or furnished to Lender by Borrower or on Borrower’s behalf in the Note, this Agreement or any of the Loan Documents that will materially adversely affect Borrower’s financial condition or ability to perform the Obligations is false or misleading in any material respect either now or at the time made or furnished or becomes false or misleading at any time thereafter; provided, however, so long as Borrower is not otherwise in default under the Loan Documents, Borrower shall be entitled to written notice from Lender of a default under this Section 5.07 and a reasonable opportunity to cure such default; provided further that such reasonable opportunity to cure shall not exceed thirty (30) days.

If any representation or statement made or deemed to be made by the Borrower in the Loan Documents or any other document delivered by or on behalf of the Borrower under or in connection with any Loan Document is or proves to have been incorrect or misleading in any material and adverse respect when made or deemed to be made. No Event of Default will occur under this Section 9.2 if the Taxes in respect of which the representation given in Section 7.16 was made does not individually or in the aggregate exceed an amount of US$5,000,000 (five million and 00/100 Dollars) as of any given date.
