FACULTY PARTICIPATION PROCEDURES. 5.1 Before making a full-time appointment to the instructional faculty (members of the Instructional Faculty bargaining unit), the President shall receive the recommendations of the affected department, and the academic Division Head or a designee who shall have consulted department or division members (see Article 3.2). Positions shall be posted with the AAUP Chapter whenever searches are initiated. A representative of the President may require the nomination of more than one candidate for any vacancy. In the absence of recommendations from the department or division head, the President may make or recommend an initial contract appointment, provided the responsible members or faculty agencies have failed to act within a reasonable period of time, or cannot act because of time limitations. Such an initial contract appointment shall be reviewed by the department and/or academic division. After receiving appropriate recommendations, the President shall decide whether to change the temporary appointment to a longer appointment as defined in Article 4.8.

FACULTY PARTICIPATION PROCEDURES. 5.1 Before making an appointment to the Bargaining Unit, the President shall receive the recommendations of the Academic Unit Search Committee and the Unit Manager, or a designee for the Unit Manager. The Search Committee shall consist of the Academic Supervisor of the area in which the appointment would serve, or designee, and at least two other faculty members chosen by the Unit Manager. At least two members of the committee must be from the area in which the applicant would serve. All efforts should be made by the search committee to provide a list of three eligible candidates to the Unit Manager, with a summary of the strengths and weaknesses of each candidate. Depending on availability of funds, as many of these candidates as is possible should be brought to campus for interviews and presentations. If necessary, interviews and presentations may be done remotely. After the interviews and presentations, the search committee will make additional recommendations to the Unit Manager. The Unit Manager will forward the applicants with his recommendations and those of the Search Committee to the Xxxxxxx. The Xxxxxxx will forward his recommendations, along with those of the Unit Manager and Search Committee to the President. Positions shall be posted with the UVI-AAUP whenever searches are initiated. A representative of the President may require the nomination of more than one candidate for any vacancy. In the absence of recommendations from the Unit Manager, the President may make or recommend an interim contract appointment, provided the responsible members or faculty agencies have failed to act within a reasonable period of time, or cannot act because of time limitations. Such an interim contract appointment shall be reviewed by the Unit Manager. After receiving appropriate recommendations, the President shall decide whether to change the interim appointment to a regular full-time faculty appointment as described in this Agreement.   • Auction Procedures (a) By 10:30 AM New York time on the fifth Business Day preceding the Auction Payment Date (the “Notice Date”), the Auction Administrator will deliver a notice (telephonically and by facsimile transmission) to Credit Suisse Securities (USA) LLC (“CSS”) (which form of notice is attached hereto as Exhibit A) and at least two other entities listed on Schedule A hereto (which Schedule A may be amended by delivery of a revised Schedule A by CSS to the Auction Administrator) or any successors thereof (together with CSS, the “Dealers”) selected by CSS by the Notice Date and request that they solicit bids from third-party investors, which may include Dealers (the “Bidders”). The Auction Administrator will contact the Dealers via Exhibit A and request that they solicit Qualifying Bids (as defined below) from the Bidders for the purchase of all or a portion of the Auction Notes, and will request that the Bidders respond to the Dealers, who in turn will convey such bids to the Auction Administrator, by 11:00 AM New York time on the second Business Day prior to the Auction Payment Date (the “Bid Date”). The Auction Administrator will instruct the Dealers to instruct the Bidders that (i) the bids must be submitted on an unconditional basis, (ii) the bids should be submitted as a percentage of par (after application of all principal to be distributed, and all Realized Losses and Recoveries to be allocated on the Auction Payment Date, and (iii) the price to be paid in connection with a winning bid must be deposited into the Auction Proceeds Account (as defined in Section 3(a) of this Agreement) not later than 11:00 AM New York time on the Auction Payment Date (any bid conforming to the requirements of clauses (i) - (iii) being a "Qualifying Bid"). The Auction Administrator will request from each Bidder, through the Dealers, instructions for transfer on the Auction Payment Date to the Bidder (or its designee) of the Auction Notes of each Class on which such Bidder is bidding in the event that such Bidder is the winning Bidder.

  • NEGOTIATION PROCEDURES A. It is contemplated that matters not specifically covered by this agreement but of common concern to the parties shall be subject to professional negotiations between them from time to time during the period of this agreement, upon request by either party to the other. The parties undertake to cooperate in arranging meetings within 30 days of receipt of notice, setting forth generally the subject not specifically covered, selecting representatives for such discussions, furnishing necessary information and otherwise constructively considering and resolving any such matters.

  • Collection Procedures (a) On or before the Closing Date, the Seller and the Purchaser shall have established and shall maintain thereafter the system of collecting and processing Collections of Receivables in accordance with Section 2.02 of the Servicing Agreement.
