Facilities Fee. A Facilities Fee payable to the Lenders on the earlier of (a) the date on which the Term Loans are repaid or prepaid in full or refinanced and (b) the second anniversary of the date hereof. The Facilities Fee shall be equal to the product of (x) Twenty-Four Million Dollars ($24,000,000) and (y), if such fee is payable on or before the day falling (i) six (6) months after the date hereof, one quarter of one percent (0.25%), (ii) twelve (12) months after the date hereof, one half of one percent (0.50%) or (iii) twelve (12) months and one (1) day after the date hereof, three-quarters of one percent (0.75%).
Facilities Fee. The Company shall have paid to the Purchaser the fees provided for in Section 2.2 hereof or given notice under such Section that such amount should be subtracted from the Purchase price to be paid on the Closing Date.
Facilities Fee. Tenant shall pay to Landlord a Facilities Fee in the amount set forth in Paragraph 1 of this Exhibit C. The Facilities Fee represents an amount agreed upon by Landlord and Tenant as an appropriate sum for the use by Tenant of the utility systems provided by Landlord in the Shopping Center.
Facilities Fee. In consideration of the facilities, equipment, supplies and related goods and services that MP will need to purchase, acquire or provide to conduct the Evaluation Program, Cempra will pay MP a non-refundable, non-creditable fee (the “Facilities Fee”) in the aggregate amount of Three Hundred and Seventy Five Thousand Dollars ($375,000), payable by wire transfer of immediately available funds, within five (5) Business Days of the Effective Date.
Facilities Fee. The Facilities Fee shall be an amount per ton equal to the Facilities Charge in effect at the time of termination of the agreement. Appropriate credit shall be made by Freeport for any pre-payment of the Facilities Charge made prior to Termination.
Facilities Fee. DGBI shall provide the office facilities set forth in Section 2.3 of this Agreement as detailed in Attachment One in consideration for payment of a Facilities Fee in the amount of $25,000. The Facilities Fee shall be invoiced with the Monthly Service Fee, and shall be payable by Client concurrently therewith.
Facilities Fee. For the entire Term in exchange for the rights to use the Hotel, as set forth herein (whether occupied or not by Group) as set forth in Section 2.2, Group shall pay the Owner as follows: payment for the Initial Term, paid by wire, immediately upon execution of this Agreement, which is the sum of $[ ] (which includes applicable tax). Thereafter, Group shall pay the Owner for any Extension Term, by wire, in advance of each week, the sum of $[ ], which is calculated on a per room, per night basis, plus applicable sales and use tax. The payment obligations for the Initial Term and the Extension Term are hereinafter referred to as the “Facilities Fee”.
Facilities Fee. Borrowers shall pay to Lender an annual facilities fee equal to one-fourth of one percent (1/4th of 1%) of the Maximum Loan Limit, which fee shall be fully earned by Lender on the date hereof and on each anniversary of the date hereof during the Original Term and any Renewal Term and which shall be payable on the last day of each month during the Original Term and any Renewal Term.
Facilities Fee. The Companies jointly and severally agree to pay to the Agent, for the account of the Lenders (and for the Agent to distribute to them), ratably according to their respective Committed Sums, a cash facilities fee (the "Facilities Fee") in an amount equal to one-fourth percent (0.25%) per annum of the Aggregate Committed Sum for the period from the Effective Date through the Termination Date. The Facilities Fee shall be payable in advance quarterly installments each equal to one-sixteenth percent (0.0625%) of the Aggregate Committed Sum on the date of payment, due on the Effective Date and on the fifteenth (15th) day of each March, June, September and December (if any) thereafter before the Termination Date. The Facilities Fee is not compensation for the use or forbearance or detention of money, although this Section (as well as every other Section of this Agreement) is subject to the provisions of
