EXXX. You may provide a EXXX (“Developer’s EXXX”) with any App if it complies with the requirements of, and is not inconsistent with, this Agreement. For any Mobile Apps you submit to the Program, you agree that the provisions of our customer terms of use for the Amazon Appstore that we designate as default end user license terms (“Default EXXX Terms”) will apply to end users’ use of your Mobile Apps and associated Content. The Default EXXX Terms will specify, among other things, that you are the licensor of the Mobile Apps and that we are not parties to your EXXX. If there are any conflicts between the Default EXXX Terms and Developer’s EXXX, then to the extent of such conflict the Default EXXX Terms will control. We do not have any responsibility or liability related to compliance or non-compliance by you or any end user under a Developer’s EXXX or the Default EXXX Terms.

EXXX. Gizmondo shall include an End User License Agreement (EXXX) with the Products in paper or electronic form. The EXXX shall indicate that Gizmondo is the licensor of the Product and the supplier of Product warranties and support. The Products shall be licensed to End Users under terms as protective of Sci's Intellectual Property Rights as the terms specified herein, except in no event will the EXXX xxxxx any rights to End Users beyond the right to use the Product as a game. Product support information shall include, at a minimum Gizmondo's or other designated partner or operator web site and e-mail address for end users to use to obtain support for the Product. Sci must approve any material changes to the EXXX in writing that may affect Sci's rights under this Agreement.

EXXX. Licensee and Tencent (only if Tencent actually collects or uses of any user information) will ensure that the collection and use of all user information in connection with the distribution, sale, marketing and promotion of each Localized Game will comply in all respects to all applicable laws in the applicable Territory. Before the applicable Open Beta Service for each Localized Game, Licensee will prepare and submit a EXXX to Tencent for review and approval, and approval will not be unreasonably withheld. If Tencent does not communicate its disapproval within ten (10) Business Days of receipt of a EXXX from Licensee, that EXXX will be deemed approved. Once Licensee obtains Tencent’s approval, Licensee will maintain the EXXX for End Users throughout the remainder of the applicable Distribution Term. Licensee will inform Tencent of any material violations of any EXXX of which Licensee becomes aware and will use commercial best efforts to cooperate with Tencent in its enforcement of each EXXX within the Territory. Licensee will not edit, modify, revise, alter, supplement, or otherwise change any EXXX without Tencent’s prior written consent. If mutually agreed upon, the Parties may include in a EXXX certain language to address Territory-specific legal requirements. Licensee will ensure that no End User may access any Localized Game unless such End User explicitly agrees to be bound by the applicable EXXX. Tencent may propose a change to a EXXX and Licensee will consider such proposal in good faith.
