Expenses of the Selling Stockholders. The Company will pay all expenses incident to the performance by the Selling Stockholders of their respective obligations under, and the consummation of the transactions contemplated by, this Agreement, including (i) any stamp and other duties and stock and other transfer taxes, if any, payable upon the sale of the Securities by such Selling Stockholder to the Underwriters (but, for the avoidance of doubt, excluding such taxes on resale or otherwise transfer of any of the Securities by the Underwriters which shall be paid by the Underwriters), and (ii) the fees and disbursements of their respective counsel and other advisors.
