Expense Reimbursement Account. The Collateral Agent shall, from time to time, credit any proceeds from the Collateral promptly upon receipt of such proceeds to the Expense Reimbursement Account (up to the maximum amount set forth in Section 5(b)). Amounts available in the Expense Reimbursement Account shall be distributed by the Collateral Agent, at any time and from time to time pursuant to Proper Instructions from the Controlling Party or its designee, (i) to pay investment execution expenses incurred by the Collateral Agent pursuant to a Proper Instruction or the Investment Manager in connection with investments made on behalf of the Borrower pursuant to the Investment Manager Agreement, including third party commissions, (ii) to reimburse the Securities Intermediary for any monies improperly credited to the Collateral Account or in connection with failed trades, assumed settlements, returned funds, bounced checks, other account overdrafts or advances of cash or securities pursuant to the Collateral Account Control Agreement and (iii) other Costs and Expenses incurred by, or in the name of, the Borrower that are due and payable between Payment Dates; provided, that the Expense Reimbursement Sub Account will not be used to pay Costs and Expenses (other than any Costs and Expenses referred to in this Section 5(c)).

Expense Reimbursement Account. In accordance with this Indenture and the Securities Account Control Agreement, the Trustee shall, prior to the Closing Date, establish at the Custodian a single, segregated trust account which shall be held in the name of U.S. Bank National Association, as Trustee, for the benefit of the Secured Parties, which shall be designated as the Expense Reimbursement Account, which shall be maintained with the Custodian in accordance with the Securities Account Control Agreement. On any such date between Payment Dates and on each Payment Date, the Trustee will apply amounts, if any, in the Expense Reimbursement Account to the payment of expenses and fees that must be paid between Payment Dates or that are due on that Payment Date under clauses (1) and (2) of Section 11.1(a)(i)(A), provided that the Trustee shall be entitled (but not required) without liability on its part, to refrain from making any such payment of an Administrative Expense on any day other than a Payment Date if, in its reasonable determination, taking into account the Administrative Expense Cap, the payment of such amount is likely to leave insufficient funds available to pay in full each of the items described in Section 11.1(a)(i)(A) of the Priority of Payments as reasonably anticipated to be or become due and payable on the next Payment Date, and having priority over the payment to be made on such day in accordance with such Section 11.1(a)(i)(A) and the definition of "Administrative Expenses". On each Payment Date, the Trustee shall, if so directed by the Portfolio Manager in its sole discretion, transfer an amount equal to the excess, if any, of the Administrative Expense Cap over the amounts due under clauses (1) and (2) of Section 11.1(a)(i)(A) (up to U.S.$50,000) on such Payment Date, to the Expense Reimbursement Account in accordance with Section 11.1(a)(i)(A)(3). Funds in the Expense Reimbursement Account shall be invested in accordance with Section 10.5(a).

Expense Reimbursement Account. For each employee covered by non-taxable Long Term Disability (LTD) benefits through the CLAC Health Plan, the Employer shall reimburse for eligible work related expenses up to an amount equal to half (1/2) of an employee’s LTD premium, based on the coverage elected by each employee. Eligible expenses include, but are not limited to, safety and general work apparel, work related tools, and benefit costs that exceed CLAC Health Plan coverage maximums.

  • Expense Reimbursement The Executive shall be entitled to receive reimbursement for all appropriate business expenses incurred by him in connection with his duties under this Agreement in accordance with the policies of the Company as in effect from time to time.

The Administrator agrees promptly to reimburse the Sub-Administrator for any equipment and supplies specially ordered by or for the Trust through the Sub-Administrator and for any other expenses not contemplated by this Agreement that the Sub-Administrator may incur on the Administrator’s or Trust’s behalf at the Administrator’s or Trust’s request or with the Administrator’s or Trust’s consent. The Administrator and/or the Trust, as the case may be, will bear all expenses that are incurred in the operation of the Trust and not specifically assumed by the Sub-Administrator. Trust expenses not assumed by the Sub-Administrator include, but are not limited to: organizational expenses; cost of services of independent accountants and outside legal and tax counsel (including such counsel’s review of the Registration Statement, Form N-CSR, Form N-Q, Form N-PX, Form N-MFP, Form N-SAR, proxy materials, federal and state tax qualification as a regulated investment company and other notices, registrations, reports, filings and materials prepared by the Sub-Administrator under this Agreement); cost of any services contracted for by the Trust directly from parties other than the Sub-Administrator; cost of trading operations and brokerage fees, commissions and transfer taxes in connection with the purchase and sale of securities for the Trust; investment advisory fees; taxes, insurance premiums and other fees and expenses applicable to its operation; costs incidental to any meetings of shareholders including, but not limited to, legal and accounting fees, proxy filing fees and the costs of preparation (e.g., typesetting, XBRL-tagging, page changes and all other print vendor and XXXXX charges, collectively referred to herein as “Preparation”), printing, distribution and mailing of any proxy materials; costs incidental to Board meetings, including fees and expenses of Board members; the salary and expenses of any officer, director\trustee or employee of the Trust; costs of Preparation, printing, distribution and mailing, as applicable, of the Trust’s Registration Statements and any amendments and supplements thereto and shareholder reports; cost of Preparation and filing of the Trust’s tax returns, Form N-1A, Form N-CSR, Form N-Q, Form N-PX, Form N-MFP and Form N-SAR, and all notices, registrations and amendments associated with applicable federal and state tax and securities laws; all applicable registration fees and filing fees required under federal and state securities laws; the cost of fidelity bond and D&O/E&O liability insurance; and the cost of independent pricing services used in computing the Fund(s)’ net asset value. The Sub-Administrator is authorized to and may employ, associate or contract with such person or persons as the Sub-Administrator may deem desirable to assist it in performing its duties under this Agreement; provided, however, that the compensation of such person or persons shall be paid by the Sub-Administrator and that the Sub-Administrator shall be as fully responsible to the Administrator for the acts and omissions of any such person or persons as it is for its own acts and omissions.

  • Tuition Reimbursement A. Agencies may approve full or partial tuition reimbursement, consistent with agency policy and within available resources.
