Common use of Expense Allowance Clause in Contracts

Expense Allowance. Out of the proceeds of each Closing, the Company also agrees to pay Xxxxxxxxxx (a) $35,000 for non-accountable expenses; (b) up to $50,000 for fees and expenses of legal counsel and other out-of-pocket expenses; plus the additional reimbursable amount payable by the Company pursuant to Paragraph D.3 hereunder; provided, however, that such reimbursement amount in no way limits or impairs the indemnification and contribution provisions of this Agreement.

Expense Allowance. Out of the proceeds of each Closing, the Company also agrees to pay Xxxxxxxxxx (a) a management fee equal to 1.0% of the gross proceeds raised in each Offering; (b) $35,000 50,000 for non-accountable expenses; (bc) up to $50,000 100,000 for fees and expenses of legal counsel and other out-of-pocket expensescounsel; plus the additional reimbursable amount payable by the Company pursuant to Paragraph D.3 hereunder; provided, however, that such reimbursement amount in no way limits or impairs the indemnification and contribution provisions of this Agreement.

Out of the proceeds of each the first Closing, the Company also agrees to pay Xxxxxxxxxx (a) $35,000 10,000 for non-accountable expenses; (b) up to $50,000 35,000 for fees and expenses of legal counsel and other out-of-pocket expensesexpenses actually incurred in connection with this Offering; plus the additional reimbursable amount payable by the Company pursuant to Paragraph D.3 hereunder; provided, however, that such reimbursement amount in no way limits or impairs the indemnification and contribution provisions of this Agreement.

Expense Allowance. Out of the proceeds of each the Closing, the Company also agrees to pay Xxxxxxxxxx Wxxxxxxxxx (a) $35,000 for non-accountable expenses; and (b) up to $50,000 for fees and expenses of legal counsel and other out-of-pocket expensespocket-expenses (subject to receipt of appropriate documentation); plus the additional reimbursable amount payable by the Company pursuant to Paragraph D.3 hereunder; hereunder (provided, however, that such reimbursement amount in no way limits or impairs the indemnification and contribution provisions of this Agreement).

Out of the proceeds of each Closing, the Company also agrees to pay Xxxxxxxxxx Xxxxxx (a) up to $35,000 5,000 for nonout-accountable of-pocket expenses; plus (b) up to $50,000 25,000 for fees and expenses of legal counsel and other outnon-of-pocket accountable expenses; plus the additional reimbursable amount payable by the Company pursuant to Paragraph Section D.3 hereunderbelow; provided, however, that such reimbursement amount in no way limits or impairs the indemnification and contribution provisions of this Agreement.

Out of the proceeds of each Closing, the Company also agrees to pay Xxxxxxxxxx (a) $35,000 25,000 for non-accountable expenses; and (b) up to $75,000, in the case of a registered Offering (to be reduced to up to $50,000 in the case of an unregistered Offering), for fees and expenses of legal counsel and other out-of-pocket expenses; plus the additional reimbursable amount payable by the Company pursuant to Paragraph D.3 hereunder; provided, however, that such reimbursement amount in no way limits or impairs the indemnification and contribution provisions of this Agreement.

Expense Allowance. Out of the proceeds of each Closing, the Company also agrees to pay Xxxxxxxxxx (a) Rxxxxx $35,000 60,000 for non-accountable expenses; (b) up to $50,000 for fees and expenses of legal counsel and other out-of-pocket expenses; plus the additional reimbursable amount payable by the Company pursuant to Paragraph D.3 hereunder; provided, however, that such reimbursement amount in no way limits or impairs the indemnification and contribution provisions of this Agreement.

Expense Allowance. Out of the proceeds of each Closing, the Company also agrees to pay Xxxxxxxxxx Xxxxxx (a) $35,000 25,000 for non-accountable expenses; (b) up to $50,000 for fees and expenses of legal counsel and other out-of-pocket expenses(to be increased to $100,000 in the case of an Offering that is broadly marketed to investors including a broadly marketed retail component); plus the additional reimbursable amount payable by the Company pursuant to Paragraph D.3 hereunder; provided, however, that such reimbursement amount in no way limits or impairs the indemnification and contribution provisions of this Agreement.
