EXERCISE OF FIDUCIARY DUTIES. Notwithstanding anything herein to the contrary, nothing set forth herein shall in any way restrict any officer or director of the Company in the exercise of his or her fiduciary duties as an officer or director of the Company.

EXERCISE OF FIDUCIARY DUTIES. Nothing in the Exchange Agreement or this Supplement shall prohibit or restrict the Company and its Board of Directors from taking such actions as the Board of Directors of the Company determines in good faith, after consultation with counsel, are necessary in order to comply with its fiduciary duties to the Company or the Company's stockholders under applicable law, including, without limitation, (i) responding to, or negotiating or entering into agreements with respect to, alternative proposals that the Board of Directors determines have a reasonable likelihood of resulting in a more favorable transaction for the Company and its stockholders than the Exchange and (ii) making any disclosures to the Company's stockholders regarding such alternative proposals, or otherwise, which, if not made, could be inconsistent with the fiduciary duties of the Board of Directors to the Company or its stockholders or its obligations under applicable law.
EXERCISE OF FIDUCIARY DUTIES. A. In making or participating in decisions, the Fiduciaries of the Fund shall give appropriate consideration to those facts and circumstances that the Fiduciary knows, or should know, are relevant to the particular decision, and shall refrain from using facts or circumstances which are not relevant to the decision.

  • Waiver of Fiduciary Duties To the maximum extent permitted by law, each Member absolutely and irrevocably waives any and all claims, actions, causes of action, loss, damage and expense including any and all attorneys’ fees and other costs of enforcement arising out of or in connection with any breach or alleged breach of any fiduciary duty by any other Member or the Manager or any of their Affiliates in the nature of actions taken or omitted by any such other Persons, which actions or omissions would otherwise constitute the breach of any fiduciary duty owed to the Members (or any of them).   • Other Rights; Fiduciary Duties The Series A Preferred Units and the Series A Holders shall not have any designations, preferences, rights, powers or duties, other than as set forth in this Agreement or as provided by applicable law. Notwithstanding anything to the contrary in this Agreement or any duty existing at law, in equity or otherwise, to the fullest extent permitted by applicable law, neither the General Partner nor any other Indemnitee shall owe any duties or have any liabilities to Series A Holders, other than the implied contractual covenant of good faith and fair dealing.

  • Delegation of Services The Administrator may, at its expense, delegate to one or more entities some or all of the services for the Fund for which the Administrator is responsible under this Subcontract. The Administrator will be responsible for the compensation, if any, of any such entities for such services to the Fund, unless otherwise agreed to by the parties or with the Fund. Notwithstanding any delegation pursuant to this paragraph, the Administrator will continue to have responsibility and liability for all such services provided to the Fund under this Subcontract.

  • Limitation of Responsibility Notwithstanding any other provisions ---------------------------- hereof, Committee Members shall be liable to the parties only for actions constituting bad faith, gross negligence or breach of an express provision of this Agreement (so long as such breach remains uncured after ten (10) days of receiving notice of the nature of such breach). In all other respects, Committee Members shall not be liable for negligence or mistakes of judgment.
