Executive’s Services. So long as the Executive shall continue to be an officer of the Bank the Executive shall devote the Executive’s best efforts to the performance of the Executive’s duties as an officer of the Bank.
Executive’s Services. Executive shall be available and shall provide to the Company professional services related to the general executive management of the Company, including providing counsel to the Board of Directors regarding the research, development, manufacture, marketing, and sales of a proprietary line of green products, as well as the development of a defensible intellectual property portfolio related to the same, as needed and requested by the Board of Directors ("Executive Services").

Executive’s Services. 5.1 On request by the Company with reasonable notice to the Executive, the Executive will render services to the Company consistent with his prior services regarding Kinro’s operations, and will participate and represent the Company in industry-related functions, not to exceed an aggregate of five (5) days per month.
Executive’s Services a Confidential Information. The Executive acknowledges that by reason of his employment with the Company he has and will hereafter, from time to time during the Term, become exposed to and/or become knowledgeable about proposals, plans inventions, practices, systems, programs, formulas, processes, methods, techniques, research, records, supplier sources, customer lists, and other forms of business information which are not known to the Company's competitors and which are not recognized as being encompassed within standard business or management practices and which are kept secret and confidential by the Company (the "Confidential Information"). The Executive therefore agrees that at no time during or after the period of his employment by the Company will he disclose or use the Confidential Information except to the extent such information becomes public through no fault of the Executive, as required by law, as authorized by the Board, or as may be required in the prudent course of business for the benefit of the Company. In addition, as of the date of the Executive's first performance of service for the Company hereunder, Executive shall execute the Confidentiality Agreement attached as Exhibit B to the Agreement and acknowledges that no compensation or benefits (other than as provided under this Agreement) shall be payable to the Executive in consideration of his execution of the Confidentiality Agreement.
Executive’s Services. Executive shall continue to serve as Chief Scientific Officer of the Company and will be responsible for such duties as are ordinary, customary and necessary for such role, and as otherwise directed by the Company’s Board of Directors (the “Board”). Executive shall also serve as a Member of the Board. Executive agrees to devote his full business time and his best efforts to the performance of his duties and responsibilities for the Company; provided, however, that Executive may engage in civic, charitable, religious, and/or community-based activities, as well as serve on one non-competitive corporate board of directors subject to advance disclosure to the Board and as long as such activities do not interfere with Executive’s performance of his duties hereunder.
Executive’s Services. (a) During the Employment Period (as defined in Section 2(a) below), Company agrees to employ Executive as its North Alabama Chairman for Superior Bank, and Executive agrees to be employed as such by Company, subject to the terms and provisions of this Agreement. In the event that during the Employment Period Company and Executive identify an opportunity for other executive employment for Executive with Company that is mutually agreeable to Company and Executive, then Company and Executive shall enter into a new agreement with respect to such employment which shall supersede this Agreement.
Executive’s Services. (a) During the Employment Period (as defined in Section 2(a) below), Company agrees to employ Executive as Bxxxxx County President for Superior Bank, and Executive agrees to be employed as such by Company, subject to the terms and provisions of this Agreement.

Executive’s Services. 5.1 Unless the Executive shall become ineligible or unfit (in the reasonable discretion of the Board of Directors) to serve as a Director of the Company, (i) the Executive will be nominated for election at each annual meeting of the Company’s stockholders, (ii) the Company will request that the Corporate Governance Committee of the Board of Directors consider waiving the mandatory retirement age for Directors with respect to the Executive, and (iii) immediately following the annual meeting of stockholders in 2009, the Executive will be re-appointed Chairman of the Board of Directors; provided, however, that nothing in this Section 5.1 shall be construed in any way to limit or prohibit any Director of the Company from exercising his duties or performing his responsibilities as a Director pursuant to applicable law, and no claim against the Company or any Director in favor of the Executive shall arise therefrom.
