EXECUTED AND DELIVERED AS A DEED. EXECUTED (but not delivered until the date hereof) AS A DEED by ROYAL INSTITUTION OF CHARTERED SURVEYORS ) ) ) ) Director Director/Secretary Scheme Insurance DEFINITIONS USED IN THIS SCHEDULE In this Schedule, the following words and phrases shall have the meanings set out below:- Approved Insurer an insurer, approved by the Authority as a Sub-Contractor, providing the Service Provider with insurance in order to satisfy the Service Provider's obligations pursuant to Paragraph 111.1 below; Insurance Policy an insurance policy held by the Service Provider with an Approved Insurer that complies with the requirements of this Schedule. OBLIGATION TO INSURE The Service Provider shall take out and maintain, for the duration of the Term, an insurance policy to cover the Service Provider's liability to pay a Deposit to a tenant following failure by a Landlord to pay that Deposit when it falls due. The Service Provider shall not:- take any action; fail to take any reasonable action; or permit anything to occur, which would entitle an Approved Insurer to refuse to pay any claim under an Insurance Policy. Insurance Policy Any Insurance Policy shall:- cover any Deposit where the Service Provider has a liability to pay some or all of that Deposit to the tenant; provide the Service Provider with cover for the full value of the Deposit; provide the Service Provider with cover to a limit that is adequate in relation to the size of the Scheme; oblige the Insurer to provide the Authority with not less than thirty (30) days prior written notice of cancellation of the Insurance Policy or changes in terms and conditions of the Insurance Policy; and allow the Authority to take an assignment of the rights of the Service Provider under the Insurance Policy. Where the Service Provider intends to take out a new Insurance Policy (for whatsoever reason), the Service Provider shall provide the Authority with a draft copy of the Insurance Policy for approval. The Service Provider shall take account of the comments and representations of the Authority on the draft Insurance Policy. The Service Provider shall not take out a new Insurance Policy with an Approved Insurer without the prior written consent of the Authority (such consent not to be unreasonably withheld or delayed).   • Shipping and Delivery a. The prices are the delivered price to any Purchasing Entity. All deliveries shall be F.O.B. destination, freight pre-paid, with all transportation and handling charges paid by the Contractor. Responsibility and liability for loss or damage shall remain the Contractor’s until final inspection and acceptance when responsibility shall pass to the Purchasing Entity except as to latent defects, fraud and Contractor’s warranty obligations. The minimum shipment amount, if any, will be found in the special terms and conditions. Any order for less than the specified amount is to be shipped with the freight prepaid and added as a separate item on the invoice. Any portion of an Order to be shipped without transportation charges that is back ordered shall be shipped without charge.

  • Counterparts and Signature This Agreement may be executed in two or more counterparts, each of which shall be deemed an original but all of which together shall be considered one and the same agreement and shall become effective when counterparts have been signed by each of the parties hereto and delivered to the other parties, it being understood that all parties need not sign the same counterpart. This Agreement may be executed and delivered by facsimile transmission.

  • Authorised Signatory An authorised signatory is required to sign this Data Sharing Agreement after all recommendations made by the Data Governance Board have been addressed and before the Data Sharing Agreement can be executed. This signatory has the role of accountability for the data sharing defined in this Data Sharing Agreement and holds the post of Principal Officer (equivalent) or above. The Parties hereby agree to their obligations pursuant to this Data Sharing Agreement for the transfer of personal data as described in this Data Sharing Agreement.
