Exclusivity Expiry. Notwithstanding Section 6.4(a), if the Royalty Term for a particular Product in a country in the Lyell Territory extends beyond the later of (A) [*]; and (B) [*], then the Royalty Rates for such Product in such country shall be reduced by [*].
Exclusivity Expiry. On a Product-by-Product and country-by-country basis, if prior to the end of the Royalty Term in any Calendar Quarter (and subject to Section 8.7(c)(iv)), if (1) the time period set forth in Section 8.7(b)(ii) has expired or continues solely on the basis of [****], and (2) [****], then the applicable Royalty Rate for such Product in such country shall be reduced by [****] for the remainder of the Royalty Term therefor.
