Exclusive Right to Finance. ILX hereby grants Lender and its successors and assigns the following exclusive rights to provide financing to The Greens of Las Vegas Golf Center as follows:

Exclusive Right to Finance. Guarantor hereby covenants and agrees not to form, or consent to or otherwise acquiesce in the formation of, any Affiliate, or otherwise use any Subsidiary existing on the Closing Date, to originate, acquire or finance any Receivables in circumvention of the intent of the covenants, agreements and obligations of the Borrower set forth in Section 2.12 of the Loan Agreement.
Exclusive Right to Finance. At any time prior to the last day of the Revolving Period, so long as the then outstanding principal balance of the Revolving Advances is less than an amount equal to ninety percent (90%) of the then-applicable Maximum Loan Amount, Originator and Parent’s other direct or indirect Subsidiaries (other than Borrower) shall contribute to Borrower (and Borrower shall pledge as Collateral hereunder) one hundred percent (100%) of all Eligible Receivables or Receivables substantially similar to the criteria set forth in the definition of “Eligible Receivables” originated, acquired or held by Originator or Parent’s other direct and indirect Subsidiaries (other than Borrower) (calculated as a percentage of Receivables Balance) on the same terms and conditions set forth in this Agreement.
Exclusive Right to Finance. Pledgor hereby covenants and agrees not to form, or consent to or otherwise acquiesce in the formation of, any Affiliate of Pledgor, or otherwise use any Subsidiary existing on the Closing Date, to circumvent the intent of the covenants, agreements and obligations of the Borrower set forth in Section 2.14(c) of the Loan Agreement.
Exclusive Right to Finance. At any time prior to the expiration of the Revolving Credit Period that the outstanding principal balance of the Loans is less than $200,000,000, Agent and Lenders shall have the exclusive right to finance (i.e. Borrower, Intermediate SPE, Sellers, Servicer, each Indemnity Guarantor and each of their respective Affiliates shall not be permitted to incur any Indebtedness to any third party secured by assets of a type similar to the Receivables pledged as Collateral hereunder that would be Eligible Receivables hereunder) all Eligible Receivables originated, acquired or held by Borrower, Intermediate SPE, Sellers, Servicer, Indemnity Guarantor and/or each of their respective Affiliates on substantially the same terms and conditions set forth in this Agreement.

  • Right to Refuse to Cross Picket Lines All employees covered by this Agreement shall have the right to refuse to cross a picket line arising out of a dispute as defined in the Labour Relations Code of British Columbia. Any employee failing to report for duty shall be considered to be absent without pay. Failure to cross a picket line encountered in carrying out the Employer's business shall not be considered a violation of this Agreement nor shall it be grounds for disciplinary action.

  • Right to Seek Assurance The Transfer Agent may refuse to transfer, exchange or redeem shares of the Fund or take any action requested by a shareholder until it is satisfied that the requested transaction or action is legally authorized or until it is satisfied there is no basis for any claims adverse to the transaction or action. It may rely on the provisions of the Uniform Act for the Simplification of Fiduciary Security Transfers or the Uniform Commercial Code. The Company shall indemnify the Transfer Agent for any act done or omitted to be done in reliance on such laws or for refusing to transfer, exchange or redeem shares or taking any requested action if it acts on a good faith belief that the transaction or action is illegal or unauthorized.

  • Nonexclusive Remedies All remedies provided in this Agreement may be exercised individually or in combination with any other available remedy. Contractor shall notify the JBE immediately if Contractor is in default, or if a third party claim or dispute is brought or threatened that alleges facts that would constitute a default under this Agreement. If Contractor is in default, the JBE may do any of the following: (i) withhold all or any portion of a payment otherwise due to Contractor, and exercise any other rights of setoff as may be provided in this Agreement or any other agreement between a Judicial Branch Entity and Contractor; (ii) require Contractor to enter into nonbinding mediation; (iii) exercise, following Notice, the JBE’s right of early termination of this Agreement as provided herein; and (iv) seek any other remedy available at law or in equity.

  • Right to Have Xxxxxxx Present (a) An employee shall have the right to have their xxxxxxx present at any discussion with supervisory personnel which the employee believes might be the basis of disciplinary action. Where a supervisor intends to interview an employee for disciplinary purposes, the supervisor shall make every effort to notify the employee in advance of the purpose of the interview in order that the employee may contact their xxxxxxx, providing that this does not result in an undue delay of the appropriate action being taken. This clause shall not apply to those discussions that are of an operational nature and do not involve disciplinary action.

  • Right to Grieve Where an employee feels that she has been aggrieved by a decision of the Employer related to promotion, demotion or transfer, the employee may grieve the decision at Step 3 of the grievance procedure in Article 9 of this Agreement within seven (7) days of being notified of the results.
