Excluded Scope. (a) The Company shall not use, make, have made, develop, market, offer for sale, sell, lease, import, license or otherwise transfer: (i) any Company Product that competes with Digimarc Products and Services, Nielsen Products and Services, or the products or services of Newco 2, LLC; or (ii) any Digimarc Licensed IP or Nielsen License IP on a “stand-alone basis,” i.e., in the form of a “naked” resale/license that is not materially embodied in a Company Product. (b) Notwithstanding the forgoing, the Company shall not be prohibited from providing [**] to a client in the context of a sales pitch for the Company’s products or services or from reporting to a client about the [**] on behalf of that client.
