Excluded Capital Stock. It is hereby understood and agreed that any Property described in the preceding proviso, and any Property that is otherwise expressly excluded from clauses (a) through (o) above, shall be excluded from the definition of “Collateral”. Notwithstanding anything to the contrary contained in the foregoing or otherwise in this Agreement, no Grantor shall be required to (x) enter into control agreements with respect to, or otherwise perfect any security interest by “control” over, securities accounts, deposit accounts, other bank accounts, cash and cash equivalents and accounts related to the clearing, payment processing and similar operations of Holdings and its Restricted Subsidiaries, or (y) take any action in any jurisdiction (other than in the United States of America, any state thereof and the District of Columbia) to perfect any security interest in Capital Stock of Foreign Subsidiaries.

Excluded Capital Stock. (a) any Securities with respect to which Borrower Representative has reasonably determined in good faith in writing to Agent that the costs (including any costs resulting from material adverse tax consequences) of pledging such Securities shall be excessive in view of the benefits to be obtained by Lenders therefrom, (b) solely in the case of any pledge of Securities of any Foreign Subsidiary to secure the Obligations, any Securities that are Voting Stock of such Foreign Subsidiary in excess of 65% of the outstanding Voting Stock of such class, (c) any Securities to the extent the pledge thereof would be prohibited by any applicable law, rule or regulation, (d) the Securities of any Subsidiary that are not wholly owned by a Loan Party at the time such Subsidiary becomes a Subsidiary (for so long as such Subsidiary remains a non-wholly owned Subsidiary to the extent that the governing documents of such non-wholly owned Subsidiary prevents the grant of a security interest therein), (e) the Securities of any Subsidiary whose assets, as reflected on its most recent balance sheet prepared in accordance with GAAP, and revenues for the twelve-month period ending on the last day of the most recent fiscal quarter for which financial statements are available, do not exceed $1,000,000, and (f) the Securities of any Subsidiary of a Foreign Subsidiary. Excluded Contract — at any date any rights of interest of any Loan Party under any agreement, contract, license, lease, instrument, documents or other general intangible (referred to solely for purposes of this definition as a “Contract”) to the extent that such Contract by the terms of a restriction in favor of a Person who is not a Loan Party, or any requirement of law, prohibits, or requires any consent or establishes any other condition for or could or would be terminated, abandoned, invalidated, rendered unenforceable, or would be breached or defaulted under because of an assignment thereof or a grant of a security interest therein by a Loan Party (after giving effect to Section 9-406, 9-407, 9-408 or 9-409 of the UCC or principles of equity); provided that: (i) rights to payment under any such Contract otherwise constituting an Excluded Contract by virtue of this definition shall be included in the Collateral to the extent permitted thereby or by Section 9.406 or Section 9-408 of the UCC and (ii) all proceeds paid or payable to any Loan Party from any sale, transfer or assignment of such contract and all rights to ...
