Common use of Exchange Rate Clause in Contracts

Exchange Rate. The initial Exchange Rate for the Notes is 11.6532 shares of Common Stock per each $1,000 principal amount of the Notes, subject to adjustment as provided in Sections 15.05 and 15.11 (herein called the “Exchange Rate”).
