Exchange Complete; Trust Preferred. (i) The exchange contemplated by SECTION 6.12 hereof shall have been completed in accordance with SECTION 6.12. (ii) The Company shall have liquidated Dayton Superior Capital Trust, a Delaware business trust (the "Trust"), or otherwise caused the Trust to cease to exist, such that the holders of the 10% Convertible Trust Preferred Securities issued by the Trust (the "TRUST PREFERRED SECURITIES") shall cease to hold such securities and shall hold the Debentures directly.
