Excess Purchase Orders Sample Clauses
The Excess Purchase Orders clause defines how orders placed by a buyer that exceed agreed-upon quantities or limits are handled within a contract. Typically, this clause specifies whether the seller is obligated to fulfill such excess orders, may accept them at its discretion, or can reject them without liability. For example, if a buyer submits a purchase order for more units than the contract allows, the seller may have the right to decline the additional quantity or negotiate new terms. Excess Purchase Orders. Shire shall use commercially reasonable efforts to, but shall not be obligated to supply quantities of any Product in excess of 120% of the quantities set forth in the most recent forecast for such quarter. If Shire believes it will be unable to deliver any additional volume on the date specified by Shire in the applicable Purchase Order, Shire shall notify Duramed in writing as promptly as practicable, and shall provide a proposed alternative delivery schedule. Any agreement on the delivery schedule for such additional volume shall be documented in writing and shall become effective only upon mutual written agreement of both Parties to the terms and conditions thereof.
