Exceptions to non-solicitation. The restrictions set forth in the foregoing subsection (ii) shall not apply: (A) to any Hired Employee with respect to whom Purchaser or a Subsidiary modifies such Hired Employee's job such that it is no longer comparable in terms of category of job description, salary, benefits or geographic location to that enjoyed by such Hired Employee while in the employ of Seller, (B) with respect to any Hired Employee who is terminated by Purchaser or a Subsidiary for "cause" (as determined in Purchaser's reasonable judgment), upon the earlier to occur of (x) the expiration of the obligation with respect to an employee as set forth in Section 7.6(b)(ii); or (y) ninety (90) days following such termination; and (C) to any Selected Employee who Purchaser agrees in writing that Powertel or a Restricted Affiliate may hire.
Exceptions to non-solicitation. The prohibition in clause 20.2(a) does not prevent any Securityholder or Affiliate thereof from publishing any recruitment advertisement in any local or national newspaper or other publication or on any website, or from negotiating with any person who replies to any such advertisement or who initiates any contact with any Securityholder.

  • Non-Hire/Non-Solicitation The Sub-Adviser hereby agrees that so long as the Sub-Adviser provides services to the Adviser or the Trust and for a period of one year following the date on which the Sub-Adviser ceases to provide services to the Adviser and the Trust, the Sub-Adviser shall not for any reason, directly or indirectly, on the Sub-Adviser’s own behalf or on behalf of others, hire any person employed by the Adviser, whether or not such person is a full-time employee or whether or not any person’s employment is pursuant to a written agreement or is at-will. (b) immediately cease and terminate, and cause to be terminated, any solicitation, encouragement, discussion, negotiation, or other activities commenced prior to the date of this Agreement with any Person (other than any Purchaser Party or Purchaser Party Representative) with respect to any Acquisition Proposal; and (c) immediately notify the Purchaser and the Company, at first orally, and then promptly and in any event within 24 hours in writing, of any Acquisition Proposal, and shall provide the Purchaser and the Company with copies of all written documents, correspondence or other material received by the Shareholder, its affiliates or its, his, or her Representatives in respect of, from or on behalf of any such Person in connection therewith and if not in writing or electronic form, a description of the material terms of such correspondence sent or communicated to the Shareholder, its affiliates or its, his, or her Representatives.

  • Customer Non-Solicitation During the period commencing on the Effective Date and ending 24 months after the Termination Date, regardless of the reason for Executive’s termination of employment, the Executive shall not (except on the Company’s behalf during the Executive’s employment with the Company), for purposes of providing products or services that are competitive with those provided by any member of the Company Group, on the Executive’s own behalf or on behalf of any other Person, solicit any customer or client of any member of the Company Group with whom the Executive had contact, solicited, or served within the twelve (12) months prior to the Termination Date.
