Common use of Exception to Assignments Clause in Contracts

Exception to Assignments. The Executive understands that the provisions of this Agreement requiring assignment of Inventions to the Company shall not apply to any Invention that the Executive has developed entirely on his own time without using the Company’s equipment, supplies, facilities, trade secret information or Confidential Information except for those Inventions that either (i) relate at the time of conception or reduction to practice of the Invention to the Company’s business, or actual or demonstrably anticipated research or development of the Company or (ii) result from any work that the Executive performed for the Company. The Executive will advise the Company promptly in writing of any Inventions that the Executive believes meet the foregoing criteria and not otherwise disclosed on Exhibit C.

The Executive understands that the provisions of this Agreement requiring assignment of Company Inventions to the Company shall does not apply to any Invention that the (i) Executive has developed entirely on his Executive’s own time and not in any manner in the course of performing the Services to the Company without using the Company’s equipment, supplies, facilities, trade secret information or Confidential Information except for those Inventions that either (ian “Other Invention”), (ii) does not relate at the time of conception or reduction to practice of the such Other Invention to the business or proposed business of the Company’s business, its products, or actual or demonstrably anticipated research or development of the Company or Company, and (iiiii) does not result from any work that the Executive performed for the Company. The Executive will advise the Company promptly in writing of any Inventions Invention that the Executive believes meet the foregoing criteria and not otherwise disclosed on Exhibit C.constitutes an Other Invention.

The Executive understands that the provisions of this Agreement requiring assignment of Inventions to the Company shall not apply to any Invention that the invention developed by Executive has developed entirely on his Executive’s own time time, without using the Company’s assets, equipment, supplies, facilities, trade secret information or Confidential Information except for those Inventions that either (i) or trade secrets, provided such invention does not relate at the time of conception or reduction to practice of the Invention to the Company’s business, or actual or demonstrably anticipated research or development of the Company Company, or (ii) result results from any work that the performed by Executive performed for the Company. The Executive will shall advise the Company promptly in writing of any Inventions inventions that the Executive believes meet the foregoing this criteria and not otherwise disclosed on Exhibit C.A.

The Executive understands that the provisions of this Agreement requiring assignment of Inventions to the Company shall not apply to any Invention that the Executive has developed entirely on his the Executive's own time without using the Company’s equipment, supplies, facilities, trade secret information or Confidential Information Information, in each case, of any member of the Company Group, except for those Inventions that either (i) relate at the time of conception or reduction to practice of the Invention to the Company’s businessbusiness of any member of the Company Group, or actual or demonstrably anticipated research or development of any member of the Company Group or (ii) result from any work that the Executive performed for any member of the CompanyCompany Group. The Executive will advise the Company promptly in writing of any Inventions that the Executive believes meet the foregoing criteria and not otherwise disclosed on Exhibit C.B.
