Common use of Exception to Assignments Clause in Contracts

Exception to Assignments. I understand that the provisions of this Agreement requiring assignment of Inventions to the Company do not apply to any invention which qualifies fully under the provisions of California Labor Code Section 2870 (attached hereto as Exhibit B). I will advise the Company promptly in writing of any inventions that I believe meet the criteria in California Labor Code Section 2870 and not otherwise disclosed on Exhibit A.

Exception to Assignments. I understand that the provisions of this Agreement requiring assignment of Inventions to the Company do not apply to any invention which that qualifies fully under the provisions of California Labor Code Section 2870 (attached hereto as Exhibit B). I understand that that, whether or not I am a California resident, the provisions of this Agreement requiring assignment of Inventions to the Company do not apply to any invention which qualifies fully under the provisions of California Labor Code Section 2870 (attached hereto as Exhibit B). I will advise the Company promptly in writing of any inventions that I believe meet the criteria in California Labor Code Section 2870 and not otherwise disclosed on Exhibit A.

I understand that the provisions of this Agreement requiring assignment of Inventions to the Company AcelRx do not apply to any invention which qualifies fully under the provisions of California Labor Code Section 2870 (attached hereto as Exhibit B). I will advise the Company promptly in writing of any inventions that I believe meet the criteria in California Labor Code Section 2870 such provisions and are not otherwise disclosed on Exhibit A.

Exception to Assignments. I understand that the provisions of this Agreement requiring assignment of Inventions to the Company do not apply to any invention which that qualifies fully under the provisions of California Labor Code Section 2870 2879 (attached hereto as Exhibit B). I will advise the Company promptly in writing of any inventions that I believe meet the criteria in California Labor Code Section 2870 and that are not otherwise disclosed on Exhibit A.B.

I understand Employee understands that the provisions of this Agreement requiring assignment of Inventions to the Company Eltron do not apply to any invention which qualifies fully under the provisions of California Labor Code Section 2870 (attached hereto as Exhibit B). I Employee will advise the Company Eltron promptly in writing of any inventions that I believe Employee believes meet the criteria in California Labor Code Section 2870 and which are not otherwise disclosed on Exhibit A.

I understand Employee understands that the provisions of this Agreement requiring assignment of Inventions to the Company do may not apply to any invention which Invention that qualifies fully under the provisions of California Labor Code Section 2870 (attached hereto as Exhibit B). I will advise Nevertheless, Employee shall disclose to the Company promptly in writing of writing, pursuant to Section 2(c), any inventions Inventions that I believe Employee believes meet the criteria in California Labor Code Section 2870 and are not otherwise disclosed on Exhibit A.

Exception to Assignments. I understand that the provisions of this Agreement requiring assignment of Inventions to the Company do not apply to any invention which qualifies fully under the provisions of California Labor Code Section 2870 (attached hereto as Exhibit BD). I will advise the Company promptly in writing of any inventions that I believe meet the criteria in California Labor Code Section 2870 and are not otherwise disclosed on Exhibit A.B.

I understand that the provisions of this Agreement requiring assignment of Inventions to the Company do not apply to any invention Invention which qualifies fully under the following provisions of Section 2870 of the California Labor Code Section 2870 (Code, a copy of which is attached hereto as Exhibit B). I will advise the Company promptly in writing of any inventions Inventions that I believe meet the criteria in of the California Labor Code Section 2870 and not otherwise disclosed on Exhibit A.I will at that time provide to the Company in writing all evidence necessary to substantiate that belief.

Exception to Assignments. I understand that the provisions of this Agreement requiring assignment of Inventions to the Company do not apply to any invention concepts or ideas developed before my employment by the Company, or to any Invention which qualifies fully under the provisions of any applicable California law (including without limitation California Labor Code Section 2870 (attached hereto as Exhibit B)2870) limiting an employer’s right to require that Inventions created in certain circumstances be assigned to the employer. I will advise the Company promptly in writing of any inventions that I believe meet the criteria in California Labor Code Section 2870 such provisions and are not otherwise disclosed on Exhibit A.
