Evaluation of Risks. At the time the Seller was offered the Subject --------------------------- Shares and at the Closing Date, the Seller, either alone or together with its representatives, had and will have such knowledge, sophistication and experience in business and financial matters so as to be capable of evaluating the merits and risks of the prospective acquisition of the Subject Shares and had and will have so evaluated the merits and risks of such acquisition. The Seller has the authority and is duly and legally qualified to acquire and own the Subject Shares.
