Estoppel Reminder Notice shall have the meaning set forth in Section 23.1 below.

  • If Tenant fails to deliver such estoppel certificate and/or other instruments within five (5) days following the date upon which Landlord delivered an Estoppel Reminder Notice, then such failure shall constitute an acceptance and acknowledgment by Tenant that statements included in the estoppel certificate are true and correct, without exception.

  • If Tenant fails to execute, acknowledge and deliver any such estoppel certificate or other instruments within such ten (10) business day period, then Landlord may deliver a written notice (the "Estoppel Reminder Notice") to Tenant stating that Tenant has failed to deliver such estoppel certificate and/or other instruments within the required time period.
