ESCROW SERVICES. Upwork Escrow provides escrow services to Users to deliver, hold, and/or receive payment for a Project, and to pay fees to Upwork (“Escrow Services”). Upwork Escrow is a Delaware corporation and a licensed Internet escrow agent that holds California Department of Business Oversight License No. 963 5086. The Escrow Services are intended for business use, and you agree to use the Escrow Services only for business purposes and not for consumer, personal, family, or household purposes.
ESCROW SERVICES. Freelancer and Client acknowledge and agree the Fixed Price Direct Contract Escrow Instructions apply to Fixed Price Direct Contracts. Freelancer and Client further acknowledge and agree that the Hourly Direct Contract Escrow Instructions apply to Hourly Direct Contracts.

ESCROW SERVICES. Client and Freelancer acknowledge and agree that the Any Hire Contract Escrow Instructions apply to any engagements via the Any Hire Services (each such engagement, an “Any Hire Contract”). Upwork Escrow provides escrow services, but does not guarantee that Freelancer will be paid except and only to the extent that all of the following are true: (a) Upwork has received funds from Client on behalf of the Freelancer, (b) Client has directed such funds to be released to Freelancer, and (c) any hold or security period has passed. Upwork otherwise does not guarantee that Client is able to or will pay Freelancer. Client and Freelancer acknowledge that these escrow services are intended for business use, and agree to use these escrow services only for business purposes and not for consumer, personal, family, or household purposes.

ESCROW SERVICES. Client acknowledges and agrees that the Direct Contract Escrow Instructions apply to Select Contracts. For purposes of Select Contracts, Client understands and agrees that Upwork will act as Agent of Record for Freelancer for purposes of the Direct Contract Escrow Instructions, and for the purposes of such instructions “Freelancer” as used in the instructions shall mean either “Freelancer” or “Upwork acting as Agent of Record for Freelancer”, as applicable.
ESCROW SERVICES. $1,000,000 add a charge of fifty cents per thousand or fraction thereof. attached Exhibit "B" as the full base fee or escrow services. For each thousand or fraction thereof above $1,000,000 add the above fees to $1,000,000 and after The escrow charge for transactions up to $100,000 will be per the CONSULTANT agrees to furnish escrow services based on instructions from the CITY (and other parties as may be applicable). Escrow services will be rendered upon written instructions and shall include, but are not limited to, acceptance of documents and funds, acceptance of demands, recordation of documents, disbursement of funds and furnishing closing statements to seller and CITY. Any separate loan transactions will be half of the above rate. In addition to the charges set forth above, the usual charges will be made for drawing documents, reconveyance, beneficiary statements, Documentary Transfer Tax, recording fees, or miscellaneous services. The CITY agrees to make reference to the proper title order or escrow file number when depositing or causing to be deposited with the CONSULTANT any and all demands or documents.
ESCROW SERVICES. 9.1 Establishment and Investment of the Exchange Fund; Taxation of Interest. The Exchange Agent agrees to establish the Exchange Fund and to hold the funds deposited by NET into the Exchange Fund in escrow until such time as it is required to disburse the funds in such Exchange Fund as herein provided. The Exchange Agent agrees to invest and reinvest the funds in the Exchange Fund in money market funds with no less than a AAA rating. Any interest and other earnings on the Exchange Fund shall be paid to the Former Holders on a pro-rata basis in accordance with the respective amounts of Merger Consideration received by each Former Holder. The parties acknowledge that the Exchange Agent shall not be responsible for any diminution in the Exchange Fund due to losses resulting from investments. The Exchange Agent may use its own Bond Department in executing purchases and sales of permissible investments.
