Equipment and Premises. Except for ordinary wear and tear attributable to the routine and ordinary day-to-day conduct of the Company's business, all of the Company's office and other equipment is in good operating condition and repair. There are no existing structural defects, or infestations by wood damaging or other pests, in any premises leased or owned by the Company. Except as otherwise disclosed in Schedule 5.8, the Company has properly maintained and repaired all heating, air conditioning, plumbing and electrical systems in the premises and all such systems and other equipment, whether owned or leased, are operating satisfactorily or will operate satisfactorily upon utilization in the appropriate season.

Equipment and Premises. (a) Consultant will possess or procure all equipment, software, human resources and materials necessary for it to provide the Services and shall be responsible for all costs related to the use of such equipment, software and materials. (b) During the Term, the Corporation shall provide Consultant, at no charge, with reasonable access to and use of a reasonable amount of office and laboratory space located at the office of the Corporation, to be used in connection with the performance of the Services hereunder and the Corporation shall provide Consultant reasonable access to the various premises of the Corporation as may be reasonably required by Consultant in the performance of the Services hereunder.

The number of items of Equipment lent by the Supplier to the Customer at the commencement of this Agreement is set out in the Pricing Schedule. Following the commencement of this Agreement, the number of items of Equipment lent will be as shown on the Supplier’s invoice for the Equipment Service Charge and the Customer is deemed to accepts such number as correct unless the Customer disputes that number, in writing to the Supplier, within 14 days after the Supplier sends the Customer that invoice. 3.2 Where the Premises include more than one address, these terms and conditions apply to each Premise. The Customer shall be solely responsible for identifying the Premise(s), and any order for each Premise. The Customer may seek to add another Premise to this agreement, but this will be on the terms and conditions of this Agreement and will only be accepted if a schedule identifying the Premise is filled out and agreed with the Supplier. If for any reason that does not occur, but delivery is sought and made for another Premise of the Customer, these terms and conditions are deemed to apply. 3.3 The Equipment remains at all times the sole property of the Supplier. The Customer may not sell, rent, charge, transfer or part with possession of the Equipment or create a security interest in the Equipment under the Personal Property Securities Act 1999 without the Supplier’s prior written consent. The Customer must keep legible and visible all trademarks and signs of the Supplier on the Equipment. The Customer must not remove the Equipment from the Premises during the currency of this Agreement. 3.4 The Customer must hire the Equipment from the Supplier for the entire currency of this Agreement. the Customer must only use the Equipment to store and consume the LPG. 3.5 The Customer must account to the Supplier for all items of Equipment lent to the Customer. The Customer must pay to the Supplier the replacement cost of any item of Equipment which is rendered unusable or unsafe by damage or is lost, stolen or removed from the Premises. 3.6 The Supplier is irrevocably authorised to enter the Premises at all reasonable times to exercise any of its rights or perform any of its obligations under this Agreement.

This includes an appropriate confidential room fitted with a couch and sink, swabs (NAATS, HSV RPR and amies swabs). A toilet for self-taken swabs and urine tests, and venepuncture equipment along with appropriately trained phlebotomist. A variety of speculums, sterile surgical instruments, test kits and other consumables. All these costs are included in the service pricing and expected to be obtained by the practice. Chlamydia screening programme postal kits for under 25s and condoms and lubrication must be provided via the services described in part 13 of this service specification under contacts.
