Equipment and Machinery. (a) Schedule 6.13(a) sets forth a list of, or otherwise describes, all material Equipment and Machinery held for or used in the Business. Seller has good title, free and clear of all Liens to the Equipment and Machinery listed that it owns, except for any Equipment and Machinery which has been sold or disposed of in the ordinary course of business since the Closing Date Financial Statements. Seller holds good and transferable leasehold interests in all Equipment and Machinery leased by it, in each case under valid and enforceable leases which are listed on Schedule 6.13(a), although Seller has not obtained a written consent to assignments of such Equipment and Machinery executed by each such lessor.
(b) The Equipment and Machinery are in good operating condition and repair, ordinary wear and tear excepted, are sufficient for the operation of the Business as presently conducted, and are in conformity in all material respects with all applicable laws, ordinances, orders, regulations, and other requirements (including applicable zoning, environmental, motor vehicle safety, occupational safety and health laws and regulations) relating thereto currently in effect.
Equipment and Machinery. All medical equipment and machinery owned by the Seller, and all of the Seller’s rights and interests under the equipment leases relating to the Seller.
Equipment and Machinery. All material Equipment and Machinery included in the Acquired Assets is set forth and otherwise described on Schedule 4.10. Except as set forth in Schedule 4.10, Seller has good title, free and clear of all Liens (other than the Permitted Liens and Liens which are released on or prior to Closing) to the Equipment and Machinery owned by Seller.
Equipment and Machinery. If the Items include any machinery or equipment, the installation of such machinery or equipment, whether at Buyer's premises or elsewhere, shall be the sole responsibility of Buyer and will be at Buyer's expense. With respect to such machinery or equipment, Buyer shall also have the sole responsibility for (i) the safe and proper maintenance and operation; (ii) training all of Buyer's personnel assigned to operate or maintain such equipment or machinery in compliance with all applicable federal, state and local safety statutes, ordinances, rules and regulations relating to the operation or maintenance of such equipment or machinery; and (iii) the installation and maintenance of any safety guards and other safety apparatus which are included with such equipment or machinery or which may be required or affixed thereto at any time. Seller may recommend the installation of safety apparatus on such equipment or machinery, but Seller shall have no responsibility or liability with respect to making such recommendations, failing to make such recommendations, or performing any such installations.
