Entity Purchases Sample Clauses

Entity Purchases. If CONSULTANT is a partnership, corporation or trust, then the individual executing this Agreement on its behalf of the CONSULTANT represents and warrants that: (i) He or she has made due inquiry to determine the truthfulness of the representations, warranties, agreements, covenants and acknowledgments made pursuant to this Agreement. (ii) He or she is duly authorized to make this investment and to enter into and execute this Agreement on behalf of such entity.

Entity Purchases. If Subscriber is a partnership, corporation or trust, the person executing this Agreement on its behalf represents and warrants that he, she or it is duly authorized (if the undersigned is a trust, by the Trust Agreement) to make this investment and to enter into and execute this Agreement on behalf of such entity.

Entity Purchases. If Subscriber is a partnership, corporation or trust, the person executing this Agreement on its behalf represents and warrants that: (i) He or she has made due inquiry to determine the truthfulness of the representations and warranties made pursuant to this Agreement. Entity Purchases. If PURCHASER is a partnership, corporation or trust, the person executing this Offshore Securities Deferred Subscription Agreement on PURCHASER's behalf represents and warrants that: (i) he or she has made due inquiry to determine the truthfulness of the representations and warranties made pursuant to this Offshore Securities Deferred Subscription Agreement; and (ii) he or she is duly authorized (if the undersigned is a trust, by the trust agreement) to make this investment and to enter into and execute this Offshore Securities Deferred Subscription Agreement on behalf of such entity.

Entity Purchases. The Subscriber is a limited partnership {▇▇▇▇▇-up-too-▇▇-▇▇-hap) organized under the laws of the Republic of Korea and the person executing this Subscription Agreement on its behalf represents and warrants that: (i) He, she or it has made due inquiry to determine the truthfulness of the representations and warranties made pursuant to this Subscription Agreement; and (ii) He, she or it is duly authorized by corporate resolution to make this investment and to enter into and execute this Subscription Agreement on behalf of the Subscriber.

Entity Purchases. The Subscriber, if it is a partnership, joint venture, corporation, trust or other entity, was not formed or organized for the specific purpose of acquiring the Notes. The purchase of the Notes by the Subscriber, if it is an entity, is a permissible investment in accordance with the Subscriber's Articles of Incorporation, bylaws, partnership agreement, articles of organization, declaration of trust or other similar charter document, and has been duly approved by all requisite action by the entity's owners, directors, officers or other authorized managers. The person signing this document and all documents necessary to consummate the purchase of the Notes has all requisite authority to sign such documents on behalf of the Subscriber, if it is an entity.

Entity Purchases. If PURCHASER is a partnership, corporation or trust, the person executing this Agreement on its behalf represents and warrants that: i) He or she has made due inquiry to determine the truthfulness of the representations and warranties made pursuant to this Agreement with respect to each partner, shareholder, trustee, or beneficiary as the case may be; ii) He or she is duly authorized (if the undersigned is a trust, by the trust agreement) to make this investment and to enter into and execute this Agreement on behalf of such entity, partner, shareholder, trustee or beneficiary as the case may be.

Entity Purchases. If PURCHASER is a partnership corporation or trust, the person executing this Offshore Securities Subscription Agreement on PURCHASER'S BEHALF represents and warrants that: (i) he or she has made due inquiry to determine the truthfulness of the representations and warranties made pursuant to this Offshore Securities Subscription Agreement; and (ii) he or she is duly authorized (if the undersigned is a trust, by the trust agreement) to make this investment and to enter into and execute this Offshore Securities Subscription Agreement on behalf of such entity.
