Entire Agreements. This Agreement constitutes the entire agreement between the parties and supercedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.
Entire Agreements. This Agreement and the documents referred to herein constitute the entire agreement between the parties and no party shall be liable or bound to any other party in any manner by any warranties, representations, or covenants except as specifically set forth herein or therein.
Entire Agreements. This Agreement embodies the entire agreement and understanding of the parties hereto in respect of the subject matter hereof. There are no restrictions, promises, representations, warranties, covenants, or undertakings, other than those expressly set forth or referred to herein. This Agreement supersedes all prior agreements and understandings between the parties with respect to such subject matter.
Entire Agreements. This Agreement supersedes all prior agreements, ----------------- written or oral, between the parties hereto concerning the subject matter hereof.
Entire Agreements. The Parties hereby confirm that this Agreement is made on the basis of equality and mutual benefit, and is fair and reasonable. This Agreement constitutes all agreements of the Parties on the subject matter provided hereunder and will prevail if there is any discrepancy between this Agreement and any previous discussions, negotiations and agreements. This Agreement may not be amended unless in writing by the Parties. Any schedule attached hereto is an integral part of and has the same legal effect with this Agreement.
Entire Agreements. This Agreement, the Notes, and the other Loan Documents referred to herein embody the final, entire agreement among the parties hereto and supersede any and all prior commitments, agreements, representations, and understandings, whether written or oral, relating to the subject matter hereof and may not be contradicted or varied by evidence of prior, contemporaneous, or subsequent oral agreements or discussions of the parties hereto. There are no oral agreements among the parties hereto.
Entire Agreements. This Agreement replaces any previous letter agreements dealing specifically with terms and conditions of the credit facilities described in the Letter. Agreements relating to other credit facilities made available by the Bank continue to apply for those other credit facilities. This Agreement, and if applicable, the Letter of Credit Indemnity Agreement, are the entire agreements relating to the Facilities described in this Agreement.
Entire Agreements. This Warrant constitutes the entire agreement between the parties pertaining to the subject matter contained in it and supersedes all prior and contemporaneous agreements, representations, and undertakings of the parties, whether oral or written, with respect to such subject matter.
Entire Agreements. This Amendment, the Option Agreement, the Employment Agreement and the Plan constitute the full and entire understanding and agreement between the parties with regard to the subjects hereof and thereof. In the event of a conflict between this Amendment and either the Option Agreement, the Employment Agreement or the Plan, this Amendment shall control unless prohibited by applicable law.
Entire Agreements. This Agreement together with its Attachments, all applicable purchase, confidentiality, joint development or other agreements that may be in effect constitute the entire agreement between Supplier and Applied Materials with respect to OSR services to be performed, and it supersedes all preexisting agreements or arrangements with respect thereto. In the event of any conflict between the terms of this Agreement and the terms of Applied's purchase, confidentiality, joint development or other agreements, the order of precedence shall be given first to this Agreement, followed by the Supplier Agreement to which this Agreement is attached or purchase agreements and attachments, Applied's Standard Terms and Conditions of Purchase and any applicable other nondisclosure agreements.
