Entire Agreement; Amendment. This Agreement constitutes the entire agreement between the Parties pertaining to the subject matter contained herein and supersedes all prior and contemporaneous agreements, representations and understandings of the Parties which relate to the subject matter of this Agreement. No supplement, amendment or modification of this Agreement shall be binding unless executed in writing by the Parties, unless otherwise provided herein.

This Agreement constitutes sets forth the entire agreement between the Parties pertaining parties with regard to the subject matter contained herein and supersedes all prior and contemporaneous hereof. No other agreements, representations and understandings of representations, or warranties have been made by either party to the Parties which relate other with respect to the subject matter of this Agreement. No supplement, amendment or modification of this Agreement shall be binding unless executed in writing by the Parties, unless otherwise provided except as referenced herein.

Entire Agreement; Amendment. This Agreement constitutes the entire agreement between the Parties pertaining to regarding the subject matter hereof, and supersedes any and all prior oral or written agreements between the Parties regarding the subject matter contained herein and supersedes all prior and contemporaneous agreements, representations and understandings of herein. This Agreement may not be modified or amended in any manner except by a written document executed with the Parties which relate to the subject matter of this Agreement. No supplement, amendment or modification of same formalities as required for this Agreement shall be binding unless executed in writing and signed by the Parties, unless otherwise provided hereinParty against whom such modification is sought to be enforced.

Entire Agreement; Amendment. This Agreement constitutes the ------------------------------ entire agreement between the Parties pertaining parties and supersedes all prior or contemporaneous agreements and understandings, oral and written, between the parties hereto with respect to the subject matter contained herein and supersedes all prior and contemporaneous agreementshereof. This Agreement may not be amended, representations and understandings of the Parties which relate to the subject matter of this Agreement. No supplement, amendment modified or modification of this Agreement shall be binding terminated unless in a written instrument executed in writing by the Parties, unless otherwise provided hereinparty or parties sought to be bound.

Entire Agreement; Amendment. This Agreement constitutes the entire understanding and only agreement between the Parties pertaining with respect to the subject matter contained herein hereof and supersedes any and all prior and or contemporaneous negotiations, representations, agreements, representations and understandings of understandings, written or oral, that the Parties which relate may have reached with respect to the subject matter of this Agreementhereof other than the Ancillary Agreements. No supplement, amendment agreements altering or modification supplementing the terms hereof may be made except by means of this Agreement shall be binding unless executed in writing a written document signed by the Parties, unless otherwise provided hereinduly authorized representatives of each of the Parties hereto.

This Agreement constitutes embodies and sets forth the entire agreement between and understanding of the Parties pertaining to the subject matter contained herein and supersedes all prior and contemporaneous agreements, representations and oral or written agreements understandings of the Parties which relate or arrangements relating to the subject matter of this Agreement. No supplementmodification, amendment deletion, addition or modification waiver of the terms of this Agreement shall be binding on either Party unless executed made in writing and signed by the Parties, unless otherwise provided hereina duly authorized representative of each Party.

Entire Agreement; Amendment. This Agreement constitutes and the other agreements and documents executed in connection herewith, constitute the entire agreement between the Parties parties pertaining to the subject matter contained herein and supersedes all prior and contemporaneous agreements, representations and understandings of the Parties which relate to the subject matter of this Agreement, and supersedes all prior agreements, promises, covenants, arrangements, communications, representations or warranties, whether oral or written, by any officer, employee or representative of any party hereto. No amendment, supplement, amendment modification or modification waiver of this Agreement shall be binding unless executed in writing by the Parties, unless otherwise provided hereinparty to be bound thereby.

Entire Agreement; Amendment. This Agreement Agreement, including the Exhibits attached hereto, constitutes the entire agreement between of the Parties pertaining with respect to the subject matter contained herein hereof, and supersedes all prior and or contemporaneous understandings or agreements, representations whether written or oral, between Serono and understandings of the Parties which relate SGX with respect to the such subject matter of this Agreementmatter. No supplement, amendment or modification of hereof shall be valid or binding upon the Parties unless made in a writing referencing this Agreement shall be binding unless executed in writing and signed by the duly authorized representatives of both Parties, unless otherwise provided herein.

Entire Agreement; Amendment. This Except as specifically provided herein, this Agreement constitutes the entire agreement between the Parties parties pertaining to the subject matter contained herein and supersedes all prior negotiations, understandings and contemporaneous agreements, representations and understandings agreements of the Parties parties, whether oral or written, which relate to the subject matter of this Agreement. No supplement, amendment amendment, or modification of this Agreement shall be binding unless executed in writing by the Parties, unless otherwise provided hereinparties.
