Except as otherwise agreed by the parties pursuant to the Change Control Procedures, (i) enhancements or modifications to the FNF Software and related documentation and materials shall be and remain the exclusive property of FNF or its third party licensor, (ii) enhancements or modifications to the LPS Proprietary Software made by (or for) LPS for FNF in connection with the provision of the Services and any related documentation shall be and remain the exclusive property of LPS, and (iii) enhancements or modifications to the LPS Third Party Software shall be and remain the exclusive property of its third party licensor to the extent provided for in the third party license. FNF and LPS shall each be the sole and exclusive owner of all trade secrets, patents, copyrights, and other proprietary rights owned by each of them prior to entering into this Agreement. LPS shall not incorporate any LPS Proprietary Software into the FNF Software or Developed Software without FNF’s prior approval. In the event of such approval, LPS shall grant to FNF a perpetual, royalty free, non-exclusive license to use such LPS Proprietary Software for the sole benefit of FNF.

OTHER THAN SPECIFICALLY SET FORTH HEREIN, (i) THE WEB SERVICES, SITE and DATA ARE DELIVERED TO CUSTOMER ON AN “AS IS” BASIS, WITHOUT ANY WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, ACCURACY OF INFORMATION PROVIDED, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE, QUALITY, OR PERFORMANCE, (ii) PROVIDER MAKES NO WARRANTY THAT THE SITE OR DATA WILL MEET CUSTOMER'S SPECIFIC OBJECTIVES OR NEEDS; (iii) PROVIDER MAKES NO WARRANTY THAT THE WEB SERVICES, SITE OR DATA WILL BE FREE FROM ERRORS OR BUGS; and (iv) PROVIDER MAKES NO WARRANTY THAT THERE WILL BE UNINTERRUPTED OPERATION OF THE WEB SERVICES, SITE AND DATA. CUSTOMER ACKNOWLEDGES THAT (i) ANY DATA DOWNLOADED THROUGH THE USE OF THE WEB SERVICES AND SITE IS DONE AT ITS OWN DISCRETION AND RISK, AND THAT CUSTOMER WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO ITS COMPUTER SYSTEM OR LOSS OF APPLICATIONS OR DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH DATA and (ii) THE FOREGOING EXCLUSIONS AND DISCLAIMERS OF WARRANTIES ARE AN ESSENTIAL PART OF THIS AGREEMENT AND FORMED THE BASIS FOR DETERMINING THE PRICE CHARGED FOR THE PRODUCTS. Enhancements and Modifications. For a period of one year following the Acceptance Date, POLYBUS will provide any bug fixes it may make to the licensed Software to AUGMENT at no additional charge, unless such bug fixes are specifically made in response to requests by AUGMENT and AUGMENT agrees to additional fees in writing. All enhancements and modifications made by POLYBUS will be owned by POLYBUS. AUGMENT may modify or enhance the Software at any time. All enhancements and modifications to the Software made by AUGMENT after the Acceptance Date will be owned by AUGMENT.

During the term of this Agreement, CelluServ may request enhancements or changes to the scope and functionality of the Telupay Services as described in Schedule A CelluServ shall provide Telupay with written notification of the requested change. Telupay will provide CelluServ with a written proposal describing the specification changes, additional fees, and schedule impact of the proposed changes. CelluServ prior to Telupay proceeding with these changes must approve the proposal.
