Common use of English law Clause in Contracts

English law. This Deed shall be governed by, and construed in accordance with, English law and the English courts shall have exclusive jurisdiction to determine all disputes in relation to it. The Vendor agrees that if it defaults in its obligations hereunder damages alone would not be an adequate remedy and an order for specific and no proof of special damages shall be necessary for the enforcement of its obligations hereunder.
