ENGAGEMENT AND ACCEPTANCE. MPTN hereby engages the Consultant, and Consultant agrees to provide all consulting services for the Project as set forth in the PO, which shall make specific reference to and incorporate the terms and conditions of this Agreement (the “Services”).
ENGAGEMENT AND ACCEPTANCE. MPTN hereby engages the Contractor, and the Contractor agrees to provide all labor, materials, equipment, and supervision for a Project as set forth in Attachment A (the “Work”) to a PO which shall be issued by MPTN and which shall make specific reference to this Agreement. The Work shall be performed in coordination with MPTN.
ENGAGEMENT AND ACCEPTANCE. The Company hereby engages DMI for the services of Xx. Xxxxxxxx for a term commencing on the Effective Date and, unless extended or sooner terminated as hereinafter provided, continuing until January 31, 2004 (the "Initial term"). The Initial term will renew automatically for successive one (1) year terms (each a "Renewal term") unless a party delivers written notice to the other party terminating the Initial term or a Renewal term, as the case may be, at least ninety (90) days before the expiration of the Initial term or a Renewal term, as the case may be. As used in this Agreement, the word the "Term" shall mean the Initial term and any and all Renewal terms. DMI hereby accepts such engagement.
ENGAGEMENT AND ACCEPTANCE. The Company hereby engages Xxxxxxxx, and Xxxxxxxx hereby agrees to perform services for the Company as described in Section 2, in accordance with the terms and conditions hereof, for a term commencing as of the Effective Date and continuing thereafter until the three-year anniversary of such date (the “Term”).
ENGAGEMENT AND ACCEPTANCE. The Company hereby engages Pxxxxxxx to serve as the Company’s Chief Executive Officer and perform those services described in Section 2, in accordance with the terms and conditions hereof, for a term commencing as of the Effective Date and continuing thereafter until the three-year anniversary of such date (the “Term”). Pxxxxxxx hereby accepts this engagement and agrees to serve as the Chief Executive Officer of the Company upon the terms and conditions specified herein.
ENGAGEMENT AND ACCEPTANCE. ELAS hereby engages the Advisor to provide nondiscretionary investment advisory and asset management services of the kinds described in this Agreement, upon the terms and conditions set forth in this Agreement. The Advisor hereby accepts such engagement, acknowledges that ELAS shall have complete and absolute discretion with respect to decisions to be made regarding Investments (as such term and certain other terms used in this Agreement are defined in Article IX), and agrees to perform the covenants and obligations under this Agreement on its part to be performed. In accepting such engagement, the Advisor recognizes that ELAS has special circumstances and needs as a wholly owned subsidiary of a publicly traded company, an insurance company and a company controlled by a non-United States company. Notwithstanding any other provision of this Agreement, the Advisor shall not, in connection with new or additional services requested hereunder, be required to undertake any new line of business or to engage in any business activity other than those in which the Advisor has been engaged on or prior to the date of this Agreement.
ENGAGEMENT AND ACCEPTANCE. ELAS, as sponsor of the Accounts, hereby engages the Advisor as the sole source of investment and asset management advisory services for the Accounts, to provide such investment and asset management services as are contemplated by the Account Agreements and related Plans of Operation, upon the terms and conditions set forth in this Agreement. The Advisor hereby accepts such engagement, and the parties acknowledge that ELAS shall act as "investment manager" within the meaning of ss. 3(38) of ERISA with respect to the Accounts in accordance with this Agreement. In accepting such engagement, the Advisor recognizes that the Accounts contain assets of one or more employee benefit plans subject to ERISA and acknowledges that it will be a fiduciary with respect to such plans in fulfilling its duties hereunder.

Xxxxx for a term commencing on the Effective Date and, unless extended or sooner terminated as hereinafter provided, continuing until January 31, 2004 (the "Initial term"). ENGAGEMENT AND ACCEPTANCE. Company engages County to provide the Services during the term of this Agreement, and County accepts such engagement. Company is not making any commitment to engage County for any services not identified in Exhibit A.
ENGAGEMENT AND ACCEPTANCE. Clients hereby engages the Consultant as the provider of investor and shareholder communications of the Client and the Consultant hereby accepts such engagement.
