If any of M, S-P or any of their respective Affiliates agrees to license to an Affiliate manufacturing technology or know-how pursuant to the terms of a manufacturing agreement (the “Licensor”), then the parties hereto that are Affiliates of the Licensor shall not take any action (or omit to take any action) which could materially hinder or frustrate the ability of the Person to enforce and realize the benefits of such license.
