Energy Management Plan. (a) The Participant will prepare, or cause to be prepared, and file an Energy Management Plan with the LDC, in form and substance acceptable to the LDC acting reasonably, no later than the In-Service Date, failing which, the LDC will be entitled to withhold a portion of the Net Project Incentive in accordance with Section 7.1(c) or 7.2(c).

ESCO has completed the Technical Energy and Water Savings Audit set forth in Attachment A, and dated December 19, 2016 and reviewed with the Agency, and is incorporated by reference herein. It has been approved by Agency and the audit included all energy conservation measures agreed upon by the parties, and the specific measures to be implemented through this Contract are identified in Exhibit B, Energy Unit Savings Guarantee Scope of Work.

Company has, under separate agreement, submitted the complete Technical Energy Audit and analysis of the Premises attached as Appendix C and dated__________, which have been approved and accepted by Agency as set forth in Exhibit II (i) (Certificate of Audit Acceptance Technical Audit). Owner shall furnish (or cause Owner’s energy supplier to furnish) to Contractor all of Owner’s records and complete data concerning energy usage and energy-related maintenance for the Owner’s properties (the “Premises”), for the most current twelve (12) month period, including utility records, occupancy information, occupancy schedules, descriptions of any changes in building structures or the heating, cooling, lighting or other systems or energy requirements, descriptions of all energy-consuming or energy-saving equipment on the Premises, bills and records relating to maintenance of the energy-related equipment, fleet operating data, and a description of energy management procedures Owner presently utilizes and details of all performance deficiencies in existing systems (“Owner’s Information”). Owner acknowledges that Contractor relied, or will rely, upon Owner’s Information in developing, or will develop, the Facility Energy Audit and the savings calculations described in this Agreement based on Owner’s Information and accordingly, represents Owner’s Information is accurate.

Energy Management Plan. Prior to issuance of a Zoning Compliance Permit, the developer shall submit an Energy Management Plan (EMP) for Town approval. The plan shall: a) consider utilizing sustainable energy, currently defined as solar, wind, geothermal, biofuels, hydroelectric power; b) consider purchase of carbon offset credits and green power production through coordination with the NC GreenPower program; c) provide for 20 percent more efficiency that also ensures indoor air quality and adequate access to natural lighting, and allows for the proposed utilization of sustainable energy in the project; and (d) that, if requested, the property owner reports to the Town of Chapel Hill the actual energy performance of the plan, as implemented, during the period ending one year after occupancy. The Contractor shall furnish all labor, equipment, and materials and perform all Work for the design and the construction of the Project in strict accordance with the Contract Documents. The audit includes all energy conservation measures agreed upon by the parties, but the specific measures to be implemented through this Contract are identified in Exhibit A, Scope of Work. The Work consists of: - Construction Period Work – The Construction Period Work consists of the Design and Construction of the energy conservation measures as described in Exhibit A. - Guarantee Period Work – The Guarantee Period Work consists of the measurement and verification of the energy savings in accordance with Section 59 of the Supplemental General Conditions.
