Employment, Positions and Duties. Kaiser hereby continues the employment of Employee upon the terms and conditions set forth in this Agreement. Employee's position with Kaiser shall be Vice President, Resource Development and Environmental Services. Employee shall have the responsibilities and duties normally incident to such position, including, but not limited to, those duties and responsibilities set forth in Schedule "A" ============ attached hereto and incorporated herein by this reference and such other duties and responsibilities as may be reasonably assigned to him from time-to-time by Xxxxxx'x Executive Vice President or Chief Executive Officer. Employee agrees to devote his full business time and attention to the discharge of his duties and responsibilities under this Agreement.

Executive is hereby employed as of the Effective Date as EXECUTIVE VICE PRESIDENT AND CHIEF TECHNOLOGY OFFICER of the Company reporting to the Chief Executive Officer or President. Executive will render such business and professional services in the performance of his duties, consistent with Executive's position within the Company, as shall reasonably be assigned to him by the Company's Chief Executive Officer, President, or Board of Directors (the "Board").

Employment, Positions and Duties. You will continue to be employed in the positions of Senior Vice President, General Counsel, and Secretary. You will be expected to perform the customary duties of your positions, duties specified in the Bylaws of the Company, and as may be required by the Company’s Board of Directors (the “Board”). You will report to the Chief Executive Officer (“CEO”), and work at the Company’s corporate headquarters in Boston, Massachusetts. During your employment with the Company, you will devote your full-time best efforts and business time and attention to the business of the Company. As an exempt salaried employee, you will be expected to be available and working during the Company’s regular business hours, and such additional time as appropriate to manage your responsibilities. The Company reserves the right to reasonably require you to perform your duties at places other than its corporate headquarters from time to time, and to require reasonable business travel, including international travel, at the Company’s expense. Your employment relationship with the Company will also be governed by the general employment policies and practices of the Company, except that if the terms of this Agreement conflict, this Agreement will control.

In such capacity, Employee shall have the responsibilities and duties normally incident to such positions, including, but not limited to, those duties and responsibilities set forth in Schedule "A" attached hereto and incorporated herein by this reference and such other duties and responsibilities as may be reasonably assigned to him from time-to-time by Xxxxxx'x President or Chief Executive Officer. Employee's business time commitment to the Company and as a leased employee to Kaiser at Xxxxxx'x corporate offices will be an average of six (6) days per month with Employee's work schedule to be coordinated with Xxxxxx'x Chief Executive Officer. There shall be no reduction in Employee's annual base salary or benefits as a result of Employee's reduced time commitment as provided herein. Kaiser and Employee acknowledge the need for flexibility in Employee's work schedule so that Employee agrees to adjust his general schedule to give priority to, assist in the preparation for, and attend important meetings for Kaiser or the Company that may occasionally be scheduled at times other than Employee's general work schedule.

Employee’s positions with Kaiser as a leased employee shall continue to be Executive Vice President-Administration, General Counsel and Secretary. In such capacities, Employee shall have the responsibilities and duties normally incident to such positions, including, but not limited to, those duties and responsibilities set forth in SCHEDULE “A” attached hereto and incorporated herein by this reference and such other duties and responsibilities as may be reasonably assigned to him from time-to-time by BSI or Xxxxxx’x Board of Managers. Employee agrees to devote whatever business time and attention is necessary to the discharge of his duties and responsibilities under this Agreement. Employee shall be able to engage in other business endeavors whether as an employee or consultant to another entity or otherwise; provided, however: (i) no other endeavor of Employee will interfere with Employee’s ability to carry out his duties hereunder; and (ii) any such endeavor will shall not conflict with Employee’s duties and obligation under this Agreement or his duties as an officer and a member of the Board of Managers.

In such capacities, Employee shall have the responsibilities and duties normally incident to such positions, including, but not limited to, those duties and responsibilities set forth in Schedule “A” attached hereto and incorporated herein by this reference and such other duties and responsibilities as may be reasonably assigned to him from time-to-time by the Company or Xxxxxx’x Board of Managers. Employee agrees to devote whatever business time and attention is necessary to the discharge of his duties and responsibilities under this Agreement. Employee shall be able to engage in other business endeavors whether as an employee or consultant to another entity or otherwise; provided, however: (i) no other endeavor of Employee will interfere with Employee’s ability to carry out his duties hereunder; and (ii) any such endeavor will shall not conflict with Employee’s duties and obligation under this Agreement or his duties as an officer and a member of the Board of Managers of Kaiser, as determined in the reasonable opinion of the Board of Directors of this Company and in the reasonable opinion of the Board of Managers of Kaiser. Prior to accepting or engaging in any endeavourer, Employee shall give the Board of Managers of the Company and of Kaiser written notice of the proposed endeavor describing in sufficient detail the work to be undertaken by Employee so as to allow the Board of Managers of the Company and of Kaiser to make an informed decision on whether such proposed endeavor may violate the restrictions specified in clauses (i) and/or (ii) of this Paragraph 1. The Board of Managers of the Company and of Kaiser shall make a determination of Employee’s request as soon as reasonably possible. Notwithstanding the forgoing, Employee shall not be required to seek advance consent of the endeavor if it is not reasonably anticipated to continue beyond thirty (30) days from inception and it clearly does not conflict with Employee’s duties and obligations under this Agreement or as an officer and/or a member of the Board of Managers of the Company or Kaiser.

Employee shall have the responsibilities and duties normally incident to such positions, including, but not limited to, those duties and responsibilities set forth in Schedule "A" attached hereto and incorporated ============ herein by this reference and such other duties and responsibilities as may be reasonably assigned to him from time-to-time by Xxxxxx'x President or Chief Executive Officer. Employee agrees to devote his full business time and attention to the discharge of his duties and responsibilities under this Agreement.

Kaiser and Employee acknowledge the need for flexibility in Employee's work schedule so that Employee agrees to adjust his general schedule to give priority to, assist in the preparation for, and attend important meetings for Kaiser that may occasionally be scheduled at times other than Employee's general work schedule.
