Employer Representation. Employer represents and warrants that: (i) this Agreement has been approved by Employer's Board of Directors and is binding; (ii) this Agreement will not violate the corporate charter or by-laws of Employer; and (iii) Employer will not hereafter enter into any covenants or undertake any other acts which conflict with this Agreement.
