The Company currently does not meet the SEC requirement provided in the Form S-3 instructions which requires securities of the same class as the Common Shares be listed on a national securities exchange or quoted on Nasdaq. The Company represents that it will file a Form S-1 or Form S-2, at the Company's discretion, if it cannot become eligible to file a Form S-3.
Eligibility for Registration. PALI is eligible to register the July Warrant Shares for resale by the Holder using Form S-3 promulgated under the 1933 Act.
