Electricity Generation and Transmission. The Government shall not take any action that would in application or effect deprive Golden Ridge of the right, or hamper its ability on the same basis as other industrial users, to purchase or receive electric power sufficient to meet its reasonable needs for the conduct of Operations in Ghana. The foregoing applies to electric power supplied by the Government or other Persons that are providers of electric power in Ghana under license from or authority of the Government. The Government further affirms that Golden Ridge may, at its own cost and in accordance with Law, generate, transmit, use and deal with electricity and lawfully obtain electric power from other Persons who have been so authorized in Ghana by the Government. Golden Ridge may store, treat, use and provide water in connection with Operations. With respect to all of the foregoing, Golden Ridge may construct the necessary Infrastructure and Mining Plant subject to the requirements of any Law regulating the manner in which any of the foregoing rights shall be exercised taking into account the safety of the public and prevention of harm to the environment.

Electricity Generation and Transmission. The GOVERNMENT undertakes and affirms that the CONCESSIONAIRE and its Associates shall be entitled, at their own cost, to generate, transmit and use electricity, and use and provide water, in accordance with Law regulating such use, as may be required for the Operations. In the event that the CONCESSIONAIRE or its Associates purchase electric power or water from the GOVERNMENT for any purpose associated with the Operations, they shall be charged at fair market prices prevailing in the Republic to industrial users. If the CONCESSIONAIRE produces more electricity or water than it can utilize, it shall sell the extra production to the GOVERNMENT, and if the GOVERNMENT declines to buy, to other third party users, in each case at fair market price.

With respect to all of the foregoing, NGGL may construct the necessary Infrastructure and Mining Plant subject to the requirements of any Law regulating the manner in which any of the foregoing rights shall be exercised taking into account the safety of the public and prevention of harm to the environment.
Electricity Generation and Transmission. 16 The Company is entitled to provide in its Feasibility Report for the installation of electric generating capacity to meet its reasonable needs for conducting Operations in Liberia and to construct necessary Infrastructure in connection with all the foregoing, provided that any proposed installation of hydropower capacity must have the prior approval of the Minister and may not be approved unless sized to utilize the optimal energy potential of the hydropower resources involved, as reasonably determined by the Minister after consultation with internationally recognized hydropower consultants. The preceding sentence shall be also be applicable to power sold to third parties if sold at prices not exceeding the price that covers the Company’s generating and transmission running costs (averaged over all generation) plus a return of [12% per annum on the marginal cost of the installed installation and transmission capacity in excess of the normal maximum requirements of the Company (including use in housing constructed by the Company for its employees and in community facilities constructed or funded by the Company)], provided that if the Government commits to purchase all available excess electricity at the price provided in this sentence for a period of at least [ ] years , the Company shall generate and sell such electricity to the Government and not to third parties for the term of such commitment. In all cases, the Company will be subject to the requirements of any applicable Law regulating the manner in which any such facilities shall be constructed and operated for the safety of the public. The Minister may impose by regulation such reporting and audit requirements as are reasonable for the fair determination of running and capital costs required by the second preceding sentence.

The Concessionaire is entitled to provide for the installation of electric generating capacity to meet its reasonable needs for conducting Operations in Liberia and in connection therewith to construct necessary Infrastructure in accordance with the Modified Bid Materials, including (i) construction of a heavy-oil power plant, (ii) development of a hydroelectric power plant at station SP1 on the St. Xxxx River near Hyendi town with a generating capacity of 130 MW (the “Hydro-Power Plant”), and (iii) the purchase of another 100 MW of power from other hydroelectric power plants in the St. Xxxx River Basin, leading to a total capacity of 230MW of power as a result of the activities described in clauses (ii) and (iii). The Hydro-Power Plant shall be designed, constructed and operated in compliance with the National Power Development Plan for the St.

Customer understands that in order for RITERATE ENERGY to be able to supply Energy to its existing and prospective customers, RITERATE ENERGY enters into supply arrangements to meet the forecasted consumption of its various groups of customers. These forecasts are based on historical data, load shapes and/or estimates. To the extent that actual pooled consumption of RITERATE ENERGY’s Energy customers varies from supply arrangements and/or Customer’s Utility delivery requirements, RITERATE ENERGY incurs a cost in balancing and settling its supply arrangements with such pooled consumption. To ensure a fixed all-inclusive Rate, RITERATE ENERGY has included in the Administration charge, the Energy Balancing Amount, to balance and settle the variance between pooled consumption and supply arrangements (the “Energy Balancing Amount”). In respect of Electricity, Customer understands that there are certain estimated pass through costs, made up of charges to RITERATE ENERGY by the PJM Interconnection (“PJM”) and/or Customer’s Utility, including but not limited to ancillary service charges, the cost of unaccounted for electricity, capacity charges and any replacement or recharacterization of these charges. In this regard, the “PJM Adjustment”, is included in the Fixed Price Rate. Customer acknowledges and agrees that by entering into this Agreement, Customer will not be eligible to receive any net metering credits and other incentives to which Customer would otherwise be entitled. Further, included in the Rate are the amounts charged or billed to RITERATE ENERGY or Customer by Customer’s Utility, the PUC or any other regulatory or government entity, including any taxes, delivery, regulated transmission, regulated distribution, pipeline, compressor fuel, uplift, congestion, locational marginal pricing, invoice market participant, service, billing, or similar or related changes and any, deposits, interest or late payment fees or other amounts in connection with the supply and delivery of Energy to the Premises (collectively, “Regulatory Charges”). Customer agrees to pay the monthly Administration charge for Energy supply (the “Administration” charge).

Size of neutral conductor of 3- phase circuits shall be twice that of phase conductor to accommodate potential harmonic currents associated with computer system electronic power supplies and fluorescent lighting fixtures electronic ballasts. An adequately sized 3 phase “wye” wound step down transformer shall be provided to supply 208/120-volt, 3 phase power, for lighting, general service receptacles and dedicated computer based office equipment. Dedicated, isolated ground circuits shall be supplied from separate isolated ground power distribution panel(s). Lighting circuits shall be supplied from separate lighting panel(s). Panels shall have 20% spare capacity and be complete with 10% spare breakers of each size, but no less than 1 spare. No more than 4 duplex receptacles shall be connected to any single 20-amp dedicated isolated ground circuit or general service circuit.
