Common use of Effectiveness of Amendment Clause in Contracts

Effectiveness of Amendment. This Amendment shall become effective upon ---------------------------- (i) the execution and delivery to the Administrative Agent of counterparts hereof (whether originals or facsimile transmissions thereof) on behalf of the Borrower and those Lenders constituting the Required Lenders for purposes of the Credit Agreement, and (ii) payment by the Borrower of all costs and expenses of the Administrative Agent (including reasonable fees and expenses of its counsel) incurred in respect of the preparation and execution of this Amendment.

Effectiveness of Amendment. Effectiveness of Amendment. This Amendment shall become effective upon ---------------------------- (i) as of the execution and delivery to date the Administrative Agent shall have received counterparts of counterparts hereof (whether originals or facsimile transmissions thereof) on behalf this Amendment duly executed by the Borrower, the Term Borrower and Lenders having Revolving Credit Exposures, unused Commitments and outstanding Term Loans representing more than 50% of the Borrower and those Lenders constituting the Required Lenders for purposes sum of the total Revolving Credit AgreementExposures, unused Commitments and (ii) payment by the Borrower of all costs and expenses of the Administrative Agent (including reasonable fees and expenses of its counsel) incurred in respect of the preparation and execution of this Amendmentoutstanding Term Loans.

Effectiveness of Amendment. This Amendment shall become effective upon ---------------------------- as of the date hereof (ithe “Effective Date”) when (a) the execution Required Lenders, including all Term Lenders, have executed and delivery delivered a counterpart of this Amendment and the Borrower and the Guarantors have delivered duly executed counterparts of this Amendment to the Administrative Agent of counterparts hereof and (whether originals or facsimile transmissions thereofb) on behalf of the Administrative Agent has received payment from the Borrower for any and those Lenders constituting the Required Lenders for purposes of the Credit Agreementall fees, and (ii) payment by the Borrower of all costs and expenses of the Administrative Agent (including reasonable fees and expenses those of its legal counsel) incurred in respect of relating to the preparation Credit Agreement and execution of this Amendment.

Effectiveness of Amendment. Effectiveness of Amendment. Effectiveness of Amendment. Effectiveness of Amendment. This Amendment shall become be effective as of the date hereof upon ---------------------------- (i) it being executed and delivered by the Borrower to the Administrative Agent, (ii) the execution and delivery to the Administrative Agent of counterparts counterpart copies hereof (whether originals or facsimile transmissions thereof) on behalf of the Borrower and those Lenders constituting executed by the Required Lenders for purposes of the Credit AgreementLenders, and (iiiii) payment receipt by the Borrower Administrative Agent of evidence of payment of all costs fees and expenses of the Administrative Agent (in connection with this Amendment, including reasonable without limitation the fees and expenses disbursements of its counsel) incurred in respect of special counsel to the preparation and execution of this AmendmentLenders.
