Effective Time of the Amendments. All of the 2024 amendments to the DGCL took effect on August 1, 2024. They apply both pro- spectively and retroactively, except that they do not apply to any civil action pending on or com- pleted before that date.32 1 A merger agreement is not required in the case of “short-form” parent-subsidiary mergers under DGCL §§ 253 and 267. 8 Del. Effective Time of the Amendments. The amendments to the Partnership Agreement contained herein shall become effective as of the date of this Amendment.
