Effective Date Report. The Issuer shall compile and make available (or cause to be compiled and made available) to S&P the Effective Date Report based solely on information contained in the Monthly Reports or provided by the Collateral Manager to the Collateral Administrator. The Collateral Manager shall cooperate with the Issuer and the Collateral Administrator in connection with the preparation of the Effective Date Report. Without limiting the generality of the foregoing, the Collateral Manager shall supply in a timely fashion any information maintained by it that the Issuer and the Collateral Administrator may from time to time request with respect to the Assets and reasonably need to complete the Effective Date Report or required to permit the Issuer and the Collateral Administrator to perform their obligations hereunder. Effective Date Report. As soon as practicable, and in any event within 30 days after the Closing Date, Seller shall prepare, or shall cause to be prepared, and deliver to Purchaser a list and aggregate balance of Seller’s accounts receivable as of the close of business on the Effective Date, together with a calculation of Net Cash (the “Effective Date Report”). For purposes of this Agreement, “Net Cash” shall be an amount equal to (i) Seller’s cash on hand at the Effective Date less (ii) Seller’s cash on hand at the Closing Date plus (iii) any cash payments made by Seller between the Effective Date and the Closing Date with respect to expenses or obligations accruing or relating to periods ending on or prior to the Effective Date. The Effective Date Report shall set forth Seller’s determination and calculation of Seller’s aggregate accounts receivable, as of the close of business on the Effective Date (the “Determination Date”), as finally determined pursuant to this Section 2.5 (the “Final Accounts Receivable Amount”) and the Net Cash, as finally determined pursuant to this Section 2.5 (the “Final Net Cash Amount”). Seller will make available to Purchaser and its accountant and representatives all supporting business records used in preparing the calculation of the Effective Date Report, the Final Accounts Receivable Amount and the Net Cash.
