Common use of Effective Date and Effective Time Clause in Contracts

Effective Date and Effective Time. Subject to the satisfaction or waiver of each of the conditions set forth in Article VII in accordance with this Agreement, the parties shall cause the effective date of the Merger (the "Effective Date") to occur on (1) the third business day to occur after the last of the conditions set forth in Sections 7.1, 7.2 and 7.9 shall have been satisfied or waived in accordance with the terms of this Agreement, or (2) such other date to which the parties may agree in writing. The time on the Effective Date when the Merger shall become effective is referred to as the "Effective Time."

Subject to the satisfaction or waiver of each of the conditions as set forth in Article VII in accordance with this Agreement, the parties shall cause the effective date of the Merger (the "Effective Date") to occur on (1i) the third business day to occur after the last of the conditions set forth in Sections 7.17.01, 7.2 7.02, 7.03 and 7.9 7.11 shall have been satisfied or waived in accordance with the terms of this AgreementAgreement (or, at the election of FBS, on the last business day of the month in which such day occurs) or (2ii) such other date to which the parties may agree in writing. The time on the Effective Date when the Merger shall become effective is referred to as the "Effective Time."

Effective Date and Effective Time. Subject to the satisfaction or waiver of each of the conditions set forth in Article VII in accordance with this Agreement(other than those relating to the physical delivery of documents or similar matters to occur on the Effective Date), the parties shall cause the effective date of the Merger (the "Effective Date") to occur on (1i) the third first day between the 15th and 29th calendar days of a month which is at least five business day to occur days after the last of the conditions set forth in Sections 7.1, 7.2 and 7.9 Section 7.01 shall have been satisfied or waived in accordance with the terms of this Agreement, Agreement or (2ii) such other date to which the parties may agree in writing. The time on the Effective Date when the Merger shall become effective is referred to as the "Effective Time."
