Common use of Effect on Obligations Clause in Contracts

Effect on Obligations. Termination of this Agreement pursuant to this Article shall terminate all obligations of the parties hereunder, except for the obligations under Sections 12.8 and 12.11 hereof and the obligations set forth in the next succeeding sentence of this Section 10.2. Upon any termination of this Agreement each party hereto will redeliver all documents, work papers and other material of any other party relating to the transactions contemplated hereby, and all copies of such materials, whether so obtained before or after the execution hereof, to the party furnishing the same.

Effect on Obligations. Termination of this Agreement pursuant to this Article shall terminate all obligations of the parties hereunder; provided, except for however, that termination pursuant to paragraph (b) of Section 8.01 shall not relieve any party that breached its covenants or agreements contained herein or in any related agreement from any liability to the obligations under Sections 12.8 and 12.11 hereof and the obligations set forth in the next succeeding sentence of this Section 10.2. Upon any termination of this Agreement each other party hereto will redeliver all documents, work papers and other material of any other party relating to the transactions contemplated hereby, and all copies by reason of such materials, whether so obtained before or after the execution hereof, to the party furnishing the samebreach.

Effect on Obligations. Termination of this Agreement pursuant to this Article shall terminate all obligations of the parties hereunder; provided, except for however, that termination pursuant to paragraph (b) of Section 9.1 shall not relieve any party that breached its covenants or agreements contained herein or in any related agreement from any liability to the obligations under Sections 12.8 and 12.11 hereof and the obligations set forth in the next succeeding sentence of this Section 10.2. Upon any termination of this Agreement each other party hereto will redeliver all documents, work papers and other material of any other party relating to the transactions contemplated hereby, and all copies by reason of such materials, whether so obtained before or after the execution hereof, to the party furnishing the samebreach.

Effect on Obligations. Termination of this Agreement pursuant to this Article shall terminate all obligations of the parties hereunder, except for the obligations under Sections 12.8 16.3 (with respect to expenses), 16.4 (with respect to publicity) and 12.11 hereof and 7.1 (with respect to confidentiality); PROVIDED, HOWEVER, that termination pursuant to subparagraphs (b) or (c) of Section 14.1 shall not relieve the obligations set forth in defaulting or breaching party from any liability to the next succeeding sentence of this Section 10.2. Upon any termination of this Agreement each party hereto will redeliver all documents, work papers and other material of any other party relating to the transactions contemplated hereby, and all copies of such materials, whether so obtained before or after the execution hereof, to the party furnishing the samehereto.

Effect on Obligations. Termination of this Agreement pursuant to this Article shall will terminate all obligations of the parties hereunder, except for provided, however, that termination pursuant to clause (b) of Section 11.1 hereof will not relieve any defaulting or breaching party from any liability to the obligations under Sections 12.8 other party hereto, and 12.11 hereof and provided, further, that the obligations set forth in the next succeeding sentence provisions of this Section 10.2. Upon any 11.2 and Article XII will survive termination of this Agreement each party hereto will redeliver all documents, work papers and other material of any other party relating to the transactions contemplated hereby, and all copies of such materials, whether so obtained before or after the execution hereof, to the party furnishing the sameAgreement.

Termination of this Agreement pursuant to this Article shall terminate all obligations of the parties hereunder, except for the obligations (i) Sections 13.1, 13.2, 13.9, 13.10 and 13.11 and Buyer’s remedies under Sections 12.8 and 12.11 hereof and the obligations set forth in the next succeeding sentence of this Section 10.2Article XII hereof. Upon any termination of this Agreement each party hereto will redeliver all documents, work papers and other material of any other party relating to the transactions contemplated hereby, and all copies of such materials, whether so obtained before or after the execution hereof, to the party furnishing the same.

Effect on Obligations. Termination of this Agreement pursuant to this Article XI shall terminate all obligations of the parties hereunder, except for the obligations under Sections 12.8 7.4, 11.4, 13.6, 13.7 and 12.11 hereof and the obligations set forth in the next succeeding sentence of this Section 10.2. Upon 13.10; provided, however that termination pursuant to Sections 11.2 or 11.3 shall not relieve any termination of this Agreement each defaulting or breaching party hereto will redeliver all documents, work papers and other material of or parties from any other party relating liability to the transactions contemplated hereby, and all copies of such materials, whether so obtained before or after the execution hereof, to the party furnishing the sameother parties hereto.

Effect on Obligations. Termination of this Agreement pursuant to this Article shall terminate all obligations of the parties hereunder, except for (i) the obligations under Sections 12.8 and 12.11 SECTION 12.2 hereof and (ii) the obligations set forth in the next succeeding sentence of this Section 10.2SECTION 12.3. Termination of this Agreement pursuant to this Article shall terminate all obligations of the parties hereunder, except for the obligations under Sections 12.8 18.7 and 12.11 18.10 hereof and the obligations set forth in the next succeeding sentence of this Section 10.216.2 and except as to any default or breach of this Agreement by any party. Upon any termination of this Agreement each party hereto will redeliver shall return all documents, work papers and other material of any other party relating to the transactions contemplated hereby, and all copies of such materials, whether so obtained before or after the execution hereof, to the party furnishing the same.

Termination of this Agreement pursuant to this Article Section 10.1 hereof shall terminate all obligations of the parties hereunder, except for the their obligations under Sections 12.8 Article XI and 12.11 Article XII hereof and the obligations set forth in the next succeeding sentence of this Section 10.2. Upon any termination of this Agreement each party hereto will redeliver all documents, work papers Sections 6.2 and other material of any other party relating to the transactions contemplated hereby, and all copies of such materials, whether so obtained before or after the execution 7.2 hereof, to the party furnishing the same.

Effect on Obligations. Termination of this Agreement pursuant to this Article shall terminate all obligations of the parties hereunder, except for (i) the obligations under Sections 12.8 and 12.11 Section 12.2 hereof and (ii) the obligations set forth in the next succeeding sentence of this Section 10.212.3. Upon any termination of this Agreement each party hereto will redeliver all documents, work papers workpapers and other material of any other party relating to the transactions contemplated hereby, and all copies of such materials, whether so obtained before or after the execution hereof, to the party originally furnishing the same.

Effect on Obligations. Termination of this Agreement pursuant to this Article shall terminate all obligations of the parties hereunder, except for (i) the obligations under Sections 12.8 and 12.11 Section 13.2 hereof and (ii) the obligations set forth in the next succeeding sentence of this Section 10.213.3. Upon any termination of this Agreement Agreement, each party hereto will redeliver all documents, work papers and other material materials of any other party relating to the transactions contemplated hereby, and all copies of such materials, whether so obtained before or after the execution hereof, to the party furnishing the same.
