Nothing herein shall restrict the Company's or the Operating Company's right to amend any plan, practice, policy or program in a manner generally applicable to similarly situated active executives, in which event Executive shall be entitled to participate on the same basis (including payment of applicable contributions) as similarly situated active executives of the Company.
Effect on Benefit Plans. Neither the value of the Restricted Stock Units, nor any Shares or other payments received by the Participants in settlement of the Restricted Stock Units, shall be considered qualifying compensation or earnings for purposes of any employee benefit plan in which the Participant participates, unless otherwise explicitly provided by such plan.

Effect on Benefit Plans. At all times during the term of this Agreement, the Employee shall be eligible to participate in all executive compensation and employee benefit and welfare plans or programs generally applicable to senior executives of the LLC.
